Job Responsibilities : - Performs routine, repetitive legal work following departmental templates under supervision of another. - Proactively undertakes research work when required - Applies pre-established rules and templates to legal matters - Knowledge of insurance related aspects and Medico-Legal aspects - Vendor management agreements &amp; vendor management experience - Assesses and reviews a variety of agreements like customer agreements, bank guarantees, supplier/dealer agreements, NDAs, AMCs, leave and license. - Good working knowledge and experience in handling commercial property/ leasing related matters - Litigation experience like responding to notices, liasioning with external lawyers, briefing counsels, management updates - Experience in adherence to and advising on statutory compliances. - Prepares routine filings for review by others. - Preparation of agenda, notices, minutes of meetings as per the Companies Act, 2013. - Holding, board, committee and Annual General meetings (AGM)/meetings. - Review of term Sheets, shareholder agreements. - Filing of charge documents with MCA. - Review of transactions between group companies and taking necessary board and shareholders approvals for the same. - Evaluating of updates to Companies Act, FEMA and other acts, evaluating the applicability and impact of the same on the group companies. - Familiarity with FEMA and RBI compliances and compounding. Preparing annual reports, drafting corporate governance policies etc. Required skills : - Corporate Governance - Drafting of agreements like NDA, Service agreements, Customer Agreements, Research agreements and any other agreement relevant to our industry etc - Litigation &amp; Risk assessment - Strong Companies Act, FEMA knowledge - RBI Compliances and compounding. - CS and Legal Due Diligence - Intellectual property requirement handling - Experience &amp; knowledge of handling issue of shares and debentures. Experience&amp; Qualifications - Preferably CS and LLB with 3 - 6 years of relevant experience
