Responsible for Handling legal, Regulatory bodies like SEBI, RBI, RoC and compliance matter for Indian Business. Structuring, negotiating & finalizing all kinds of business / commercial contracts and amendments thereto in line with the strategies of the Bank foreseeing, anticipating & mitigating the risks. Implementing standardization of contracts & processes.
Key Responsibilities :
- Structuring, negotiating & finalizing all kinds of business / commercial contracts and amendments thereto in line with the strategies of the Bank foreseeing.
- Advise management with respect to legal issues related to the development and implementation of its business strategy, governance and compliance policies, employment law matters, conflict of interest policies, corporate structure.
- Providing total legal support for setting banking business including but not limited to obtaining various approval licensees as and when required by the banking companies time to time.
- Act as a one point of contact from the legal & Compliance prospective in setting up the Consumer Banking structure.
- Legal partner for all strategy, planning needs for banking/financial business which that help in taking critical business decisions.
- Handling Corporate Legal Affairs, Contracts, and Advisory Services with exceptional communication and relationship management skill.
- To support the company in setting up the robust compliance frame work and structure for the upcoming bank.
- To take care of all the corporate secretarial responsibilities with respect to formulation of banking company, setting up of the board and the corporate secretarial function.
Education/Experience :
- Graduation in Law, Company Secretary (CS)
- Minimum 7-10 years of experience at the same/similar position in India
- A Keen analyst with proven abilities in liaising with government departments, regulatory authorities and external agencies including ROC, RBI, SEBI, Stock Exchanges, Banks, Financial Institutions, etc
- Experience in handling/setting up, startup of the new entities especially in financial sector.
- Expert understating of companies act/RBI rules & regulations and the corporate secretarial function.
- Experience in managing the formal board, its committees and the various meeting as and when required time to time.
