Job Summary: This profile links the company and its Board of Directors, shareholders, government and regulatory authorities and all other stakeholders. Ensures that Board procedures are followed and regularly reviewed and provides guidance to Chairman and the Directors on their responsibilities under various laws. It also ensures adoption of best corporate governance. Independent handling of Company Secretarial &amp; Statutory Compliance. Experience in handling Government offices including Dept. of Corporate Affairs, ROC, MCA, DEA, MOFPI, DIPP etc. Key Responsibilities: - Effective management of Legal &amp; Statutory Compliance. - Organizing Board meetings, deciding the matters to be taken to the Board for review or approval, presenting the reports to Board and implementing the decisions of the Board. Compliance is a complex subject and its impact is deep rooted and puts the reputation of the Company at stake. - Communicating with all levels of Associates at various plants across departments like Quality, HR, Supply chain, finance etc. - Hand holding of Associates for undertaking the Compliance under various applicable laws. - Preparation and risk analysis of list of non-compliance and providing workable solutions to be compliant to the applicable laws within the Company. - Analyzing the Foreign Exchange laws, Company law and the internal standards of corporate governance, the existing investments into the Company are re-structured. - Interpretation of statutes while implementation of compliance under all laws: Environment laws, industrial laws and various state and central legislation are reviewed and compliance solutions are provided and making the Company compliant with applicable laws. - This is a critical role is to ensure all compliance and effective reporting to the Board. The candidate is also required to keep update on regulatory changes Qualification: CS from Institute of Company Secretaries of India and LLB from a reputed law University Experience:&nbsp; Minimum 15+ years of relevant work experience, should have 5-7 years of experience in listing agreement along with FDI, FEMA experience.
