Position : Head - Strategic Finance
Location : New Delhi.
Reporting to : Global CEO (British National)
Role summary :
The Strategic Finance Head is expected to bring in competence & expertise in the areas of raising debt / non-equity funds, financing strategy for new opportunities (bids and M&A), taxation and regulatory compliance in bid submissions for new concessions and M&As. The role will involve extensive dealing with lenders such as banking and financial institutions, lease financers, vendors & OEMs. The role will report into the Global CEO.
Key Responsibilities :
A. Finance strategy :
- Evaluate and suggest financing strategy for new opportunities in coordination with Global CEO and BD team to ensure that the company submits a competitive bid for new concessions
- For new bid submissions, ensure that all taxes and duties applicable have been appropriately captured during the evaluation
- Undertake risk management - identify, assess, monitor, and manage financing & regulatory risks such as over/under leverage, compliance issues, and other risks that could affect the business
- Plan and prepare monthly, quarterly, and annual reports related to fundraising, capital budgeting and refinancing
- Advise the CEO on any ad-hoc financial analysis such as new bid opportunities and investments for new product development
B. Fund Raising :
- Identify capital requirement basis business plan and company's existing & target capital structure
- Raise funds for new business opportunities which includes debt financing, lease financing & vendor financing (within India or abroad). Identify optimal mix between all strategies
- Decide the best source for fundraising keeping in perspective the cost of capital, debt covenants and existing debt raised
- Raise funds for vendor financing, identify the right amount and terms of financing, close deal with vendors
- Restructure existing debt arrangements with financial institutions as warranted by the business situation
- Prepare Information Memorandum (IM) & other required documents to be presented to Banks / Financial Institutions while approaching for funds requirement
- Provide inputs on financial models and run sensitivity analysis on financing parameters
- Structure loans & other financial instruments ensuring optimum cash flow management & continuous debt servicing during concession period
- Manage credit rating exercise - furnishing required documents and information, coordinating with the CRA for rating updates periodically
- Ensure all Conditions & Precedents (CP) agreed with the lenders are met
- Ensure legal and regulatory compliance for all transactions
C. Stakeholder management :
- Manage relations with lenders / banks for the entire duration of the financing arrangement
- Ensure agreements signed with Banks / Financial Institutions are complied with during the entire term of financing
- Represent the company during meetings with existing or potential investors
D. M&A :
- Source strategic value-accretive deals for the company through personal network and market relations
- Keep abreast of financing and investment transactions in the industry to create market comparable
- Support due diligence activity by identifying external agencies for tax and legal DD, where required, negotiate terms of appointment after necessary budgetary approvals
- Coordinate with advisors during tax and legal DD and report the results including risks involved to the Global CEO
- Identify the best source of financing required for M&A deals (within India or abroad)
- Raise funds required for the transaction from the identified sources
- Ensure that all regulatory and compliance requirements are met, and requisite approvals are obtained for cross-border and domestic deals
- Ensure that international and domestic taxation laws are complied with; understand all tax implications of the transaction
