Role Title : Head - M&A (India)
Team: 1-2 Lead BD
Reporting To: Vice President, Business Development India & Emerging Markets (For India deals)
Sr. VP, M&A and Corporate Development (For international deals)
Location: GG-India, Ameerpet, Hyderabad
Key Responsibilities:
M&A - Brands, Portfolios and Companies:
- Define the criteria for acquisition. Get internal alignment for the criteria. Based on the objective set for M&A, analyze therapies and related markets. Identify and analyze portfolio gaps. Identify and Analyze potential targets.
- Screen the universe of the companies and the brands based on the criteria. Prioritize the assets to arrive at the target list of a few.
- Lead Proactive market reachout to generate strong and relevant leads. Continually engage and socialize with I-Bankers and Consultants to generate M&A leads
- Review the opportunities, share a clear POV to filter deals. Support diligence /evaluation/negotiations of the target assets to drive right decisions for successful outcomes
- Forecast the P&L for the target. Apply the valuation's models to arrive at the valuation range. Make an NBO and negotiate for agreeable value.
- Drive collaboration with M&A team, Finance and Region Heads in overall process of agreement development
- Get top management buy-in and initiate the approach process. On confirmation from the target company plan the Due Diligence process and get the cross functional team work on the diligence (India, EMs; and suitably connect with US, EU, Biologics) to leverage innovative assets for BD
- Lead risk assessment and forecasting. Arrive at the right valuation. Negotiate with the counter party. Conclude the sell off in case of divestments
- Conclude the transaction agreements - Definitive Agreement, Project plan the closing process.
- Project plan the integration process.
Operating Network:
Internal: Sales and Marketing Heads, Legal Head, Regulatory, Finance, Medical, R&D and supply chain teams.
External: Global Innovators, Consultants, Bankers, Start-ups
Academic Background & Experience:
- 8-10 years of experience in Pharma Industry and business development.
- MBA from tier-1 institutes
