Head - Legal & Secretarial - Technology Services (15-25 yrs)

Company Profile: Our clients who are a highly successful, fast growing, professionally managed Technology Services organisation-Leaders in their field. The organisation has heacount over 10,000 and a large topline, is well funded and present nationally with a large number of branch offices.

Our clients are looking for a Head-Legal & Secretarial to be based in Mumbai and reporting to the CEO. Will lead a small team.

The position is expected to be closed by end-January.

Job Description: The incumbent will head all the strategic & operational initiatives of the Legal & Secretarial function.

KRAs :

1.To ensure that the legal requirements related to running the business and managing operations are properly adhered to within framework of governing laws in various locations and geographies (local and international).

2.To monitor various processes relating to business, operations & functions for their compliance; to offer advice whenever required to enable strict compliance to set policies, procedures and practices.

3.Arranging and making necessary arrangements for the meeting of the board and audit committee of the board of directors and preparation of agenda and matters related thereto. Matters pertaining to the holding and conducting of the Annual General Meeting of the company including preparation of Annual Report of the same.

4.To oversee and enable preparation of Minutes of Board Meeting, Annual General Meeting and various other committees of the Board.

5.To oversee the filing of various forms and other due compliances before the Registrar of Companies, Stock Exchanges, RBI and other regulatory bodies.

6.Drafting & vetting of Legal documents in the likes of Joint Venture, Distributorship, Lease Deeds, Memorandum of Understanding, Legal notices & Reply to the Notices, replying to Show Cause Notices, Partnership Deeds, Indemnity Bonds, Power of Attorney, Leave & License Agreements Affidavits, Agency agreements, settlement agreements, Non-Disclosure agreements, Confidentiality agreements, Service Agreements, etc. Preparing case briefs, representing the company in courts, forums, etc.

7.To be a trusted advisor of the senior management and Board and to enable and guide the business heads to take judicious decisions

8.To assist in litigations and work closely with service providers & advisors in working out best possible solutions for the group

9.Responsible for any other secretarial and legal matters as and when needs arises.

Candidate Profile: Law Graduates + CS aged 40-50 with 15-25 years relevant experience handling legal and secretarial matters of large (headcount over 2000#, multi-locational, Topline over Rs.1000 crores) reputed listed companies preferably from IT, Technology, Financial Services, Fin Tech organisations. Should have expert knowledge of Companies Act, SEBI and RBI regulations and a working knowledge of all other regulations generally applicable. Should have good knowledge of the statutory requirements of the company.
