Position Title : Senior Manager

Experience Range : 10-15 years (preferably IT industry exposure)

Primary Skill Requirement :

Secretarial :

- Lead the Secretarial Practice and team; Interact with the Board

- Ensure compliance with the Listing Agreement, Companies Act, 2013, Rules Regulations and other corporate law requirements under FEMA, FDI and RBI etc applicable to the Company;

- Organizing Board Meetings, preparation of notices, agenda, resolutions and preparation of minutes for all legal entities of the company, including overseas entities

- Reviewing with Statutory and Internal Auditors on all secretarial practices areas and support the units in ensuring compliance with audit note/ observation

- Maintain and updating the statutory registers, Insider Trading Register and records and filing of various returns for the Company;

- Compliance for overseas branch offices and affiliate companies

- Lead / Part of Key Management Personnel and Committees

Legal :

- Lead the Legal team and have a strategic vision for the team

- Implement best practices

- Nurture and mentor the team

- Drafting, vetting and negotiating contracts viz., master services agreements, consultancy agreements, vendor contracts, licensing agreements, alliance agreements, partnership and subcontract agreements, Annual Maintenance contracts etc.,

- Drafting legal documents, notices, letters, agreements, contracts, MOU, LOI, NDAs, Internal guidelines, policies, etc.,

- Advise internal clients on various business and operational requirements

- Support reporting manager and head of the department in all legal matters for ensuring that all the Legal processes of the organization are successfully implemented.

- Drafting, Reviewing, redlining and negotiating business contracts

- Reviewing of HR, Admin and other generalist contracts, updating of repository

- Execution of contracts, renewals, addendums and amendments to contracts, handle litigation matters both domestic and overseas;

- Assist in M&A activities

Education Criteria Must Have : A qualified Company Secretary and LLB

Reporting to : CFO

Work Location: Bangalore

Other Attributes :

- Ability to communicate well with Board, sales heads, delivery heads and other heads of functions;

- Proven negotiation abilities

- Institutionalize processes / best practices
