Hiring for leading NBFC Sector.

Position: Head - Legal & Secretarial

Total Experience: 15+ years

Qualification: LLM/ LLB

A well-capitalized NBFC with ambitious plans to be a full-service NBFC is looking for a Head of Legal & Secretarial, to be a part of the founding team. Compensation will be a combination of Fixed CTC and ESOPs. The person will be responsible for setting up and managing the entire Legal and Secretarial Function of the NBFC and its subsidiary HFC. Functions will include but not be limited to.

Non-Litigation :

- Drafting, vetting of all legal agreements, MOUs, deeds and other legal documents including financial arrangements with VC Partners

- Replying to legal notices, issuing legal notices.

- Provide legal opinion and guidance to other user departments on various references, examining the recent legislative changes and accordingly advising the Board.

- Review policies, regulations of the company and associates

- Address all stakeholder related grievances

Litigation :

- Empaneling solicitors/ law firms

- Filling and defending various types of litigation in courts of law/ tribunals and briefing counsels if required, as well as appearing in courts/tribunals if required.

- Seeking external Legal opinion

Secretarial :

- Being the compliance officer for the company and ensuring all compliances under various statutes and provisions including Company Act and all rules and Byelaws made thereunder

- To convene and attend meetings of the Board, Committees constituted by the Board under the above-mentioned statutes and General Meetings and to maintain the minutes of these meetings.

- Liasoning with the BOD, internal CEOs and other HODs, SEBI Officials, other GOvt Officials as and when required, with investors for their queries, and with Registrars and share agents.

- To advise the Board of Directors on regulatory, procedural and corporate governance related matters.

- To ensure that affairs of the company are managed in accordance with its objects contained in the Memorandum and Articles of Association and the provisions of the Companies Law.

- To carry out all matters concerned with the allotment of shares, and issuance of share certificates including maintenance of statutory books and compliances for the ESOP scheme of the Company.

- Filing of various documents/returns as required under the provisions of the Companies Act, 2013 and Rules made thereunder with ROC, SEBI, and Government.

- Maintenance of books and registers of the company as required under the provisions of the Companies Act, 2013 & Rules made thereunder and the SECC Regulations 2012.

Key Skills Required :

- Good legal drafting and communication skills.

- Understanding of the legal duties, responsibilities, and liabilities.

- Ability to manage workload and at times conflicting priorities as well as tracking progress on a wide range of tasks.

- Excellent interpersonal, influencing and representation skills, experience and maturity

Domain Industry expertise :

- Financial Services

- Experience in dealing with regulators RBI & NHB
