- To head legal function of company and group companies.
Principal Accountability: (Please write all the major jobs that the employee is required to carry out )
Litigation:
- Development of guidelines for mitigation of litigation.
- Strategic thinking on Litigation requirements.
- Strategy and research based legal approach while handling legal matters.
- Drafting, vetting plaints, written statements, replies, complaints, applications etc
- Regular co-ordination with the counsels and ensure timely attendance and response.
Contract:
- Drafting, vetting/ calibrating various commercial agreements name few, manufacturing agreements, distributorship agreements, trade mark license user agreement etc.
- Ensure Template Standardization
- Advice on Contract formats and requirements; co-ordination with Functional heads
- Ensure proper compliance, timely renewal and/or termination of contracts
- Maintaining proper documentation; custodian of Original agreements.
Corporate Legal Affairs:
- Making proactive recommendations to the management so that the operations of the Organization are always in compliance with applicable laws for the time being in force
- In house legal opinions; In-house Legal Audit; Development of SOPs for mitigating litigation as well as imparting training/guidelines to other functional subordinates/ business associates for compliance of SOPs and other applicable laws and compliances thereto.
- Being a core committee member handled the activities of demerger, acquisition & joint venture company formation if any.
- Preparing MIS and advising cost based legal approach to the Management
Statutory and Regulatory Affairs:
- Imparting guidelines to concerned Functions, in obtaining, holding required licenses under various statutes.
- Drafting various documents required for obtaining licenses under various statutes and also for
- Product Registrations, Tender documents;
- Ensure review of product labels / promotional materials to comply with concerned statutory requirements, Legal Metrology, and IPR
- Handling prosecution cases, replying to Show Cause notices issued by Regulatory Authorities
IPR:
- Imparting training/guidelines to Marketing personnel while coining and adopting the trade Marks and also tracing out/investigating the imitating /duplicate products.
- Attending all formalities for registration of trade marks, copyrights from search to till Registration and Renewals including registration and maintenance in foreign countries.
- Protecting Intellectual Property rights of the company by tracking trade mark journals and filing Oppositions, defending trade mark applications in Opposition, Rectifications.
- Proactive steps in taking investigations, issuing seize and desist notice against infringers/imitators and filing Infringement /Passing off suits against them and getting injunction from courts.
- Drafting /publishing Trade Mark Caution Notice/ Precaution advt./ articles in news papers to caution the public in protecting trade mark.
