Must have 15+ years in Legal in a Listed Company
- Knowledge of Corporate and commercial Law
- Experience on legal aspects of Acquisition, Mergers, Joint venture formation
- Experience in foreign investments and public offers
- Handling of legal documentations for borrowings from banks and financial institutions
- Knowledge of conveyancing
- Experience in attending hearing at National commission level
- Preparation of GPA / Supply agreements, customer contracts with Indian and international clients
- Tracking of documentations and maintain of depositories
- Drive contract lifecycle from drafting through completion of the negotiation process and/or contract execution.
- Scrutinizes all the contracts received for legal risk and analyses them as per the company standards and policies.
- Supervises and oversees the review, negotiation and drafting of major contracts, NDAs, and other legal documents, as required by the various departments.
- Partner with HR to provide advice on labor and employment laws, drive compliance with these regulations and assist in building sustainable processes.
- Development of legal policies and procedures for the company, designed to achieve and ensure compliance with regulatory requirements.
- Liaising with various government/public authorities and bodies wherever applicable
- Handling lawsuits of the company in coordination with the authorized Lawyer and filing Lawsuits in the Court.
- Studying lawsuits filed by an individual and sending appropriate replies to appropriate authorities.
- Planning, Organizing, and conducting enquiry proceedings as per the statutory requirements.
- Tracking of judgments of various courts and updating the relevant Functions on the trends of the cases and judgements.
- Supporting various departments of the group in legal and compliance matters. Tracking regulatory circulars and giving regular feedback to the respective functions on the regulations/directives regarding their function
- Supervises and interacts with Panel Lawyers, Courts and other Law Officers of Govt. from time to time
- Review ongoing cases, advising the Legal implications of the company policies and procedures and update Management on the developments.
- Proactively take various initiatives, develop training programs on business-critical matters/policies, upcoming laws & amendments in thereto and build awareness amongst the stakeholders.
