Role Summary:

- This is a Critical Position in the Organization as the Role is to Protect Company's Interest in litigations, Taking Proactive Measures to Avoid Prosecutions & Ensure the Company Owned Properties /Assets are Free from Encumbrances & Keeping the Interest of the Organisation well Protected in Agreements.

- The Head of Legal Would Provide Proactive, in-Depth, legal, Business-Focused Advice to the Business, Ensure Implementation of Initiatives & Processes in order to Set Standards & Reinforce a Culture of integrity, Quality, Ethical Behaviour & Responsibility Across the Business.

- He/she Would be Responsible for Analysing & Identifying the legal Risks & Implications of All of the Business's Transactions, Keeping the Senior Management in all Departments of the Business informed of Developments in laws & Regulations that Potentially Affect the Business.

Responsibilities:

1. Implementation of Key legal Processes that Relate to legal Drafting, Negotiations & Commercial Agreements.

2. Manages legal Risk Within the Business by taking Responsibility for Providing legal Advice to the Business's Senior leadership on All legal Matters Affecting their individual Departmental Transactions. Provides Senior leadership Across the Business with Strategic & Operational Guidance, helping them in the Management of litigation Issues Such as Contract Disputes & Product liability.

3. Reviews & Provide Advice to the Business Upon Request on Matters Concerning Applicable Contracts required for Operation of the Business.

4. Assists & External legal Partners in identifying Potential legal Risks & Assessing the Issues impacting legal Risk & Ensures that all of the Business's Risk Management Approaches are Viable

5. To Ensure that the Government Policies & Amendments/ Judgments are Implemented in the Organisation for the Business Growth.

6. Apprise Business Units with the Changes in law to Prevent Future Complications

7. Draft Notices, replies to the Notices, Pleadings, Affidavits that are Required for the Day-to-Day Proceedings in Cases.

8. Drafting, Vetting, Reviewing & Negotiating the Commercial Contracts, EPC Contract, O&M Contracts, PPAs, Non-Disclosure Agreements, Guarantees, MOUs, JVs, Affidavits, POAs etc.

9. Litigation Management, Arbitration, Drafting & Vetting Commercial Contract, Title Verification & land Disputes, lease & Sale of Property, Handling Supreme Court & High Court Cases, Coordination with Advocate, Opinion & Advise to Management

10. Legal Due Diligence of land, Title Search Report-before Acquisition & After Acquisition of land, Registration of land, Mutation entry in the Revenue Record, getting Change of land Use Permission & Other issues Related to Acquisition of land; Lease land Related legal Matters

11. Compliance-To Draft Various Replies / Affidavits for Filing before Industrial Tribunal & High Courts in Industrial Disputes. To ensure Compliance of Various Labour Laws Such as Contract Labour (R&A) Act, Minimum wages Act, PF&MP Act, ESI Act, Payment of Gratuity Act, Payment of Bonus Act, Factories Act etc

12. To Conduct Legal Audits L to Ensure Compliances -Drafting of Agreements to be Entered with Contractor(s) for Awarding Contract for Various Jobs / Services

13. Briefing to Senior Management on Different Matters Pertaining to Litigations

Qualification & Experience :

Bachelor of Law (LLB with a Post Graduate Degree in law with About 25 Years' Experience in Corporate, Civil, Industrial, Business & IPR laws.

Functional Knowledge & Competencies :

1. Head Legal Would Operates in a High Professional & Dynamic Business Environment ensuring the Delivery & Quality of the Overall legal Services.

2. Should Possess Good Understanding of all the Commercial laws which Shall include but not Restricted to Company Law, Contract Act, Negotiable Instrument Act, Competition Act, FEMA and SEBI.

3. Responsible for Drafting of Various Business-Related Term Sheets, Documents, Agreements & Contracts (Domestic & Cross Border

4. Must be Able to Operate & Perform Under Constant Time Pressure / Time Constraints

5. Exposure in large Corporate in Industrial & Business laws

6. Good Communication Interpersonal Skills

7. Negotiation & Analytical Skills
