We have been retained by a listed company to search for a head of legal for a company aligned to contributing to India's vision for becoming a 5 trillion dollar economy by FY 2028. Current Topline is around 9000 + Crores. The company is vertically integrated and innovation focussed. On their behalf we are looking for an outstanding professional in the space of legal .

POSITION : Head Legal

Reports to : CEO.

Location: Bhopal

OVERVIEW OF THE ROLE :

- This role is expected to apply his/her professional knowledge and expertise to be the key driver for various legal aspects . He/She will be reporting to the CEO.

-The complexities of the contracts necessitate the recruitment of technically & legally qualified Corporate Legal Heads.

- Anticipate and plan for all legal risks and develop strategies to mitigate those risks.

- For Contract: Drafting and vetting of various species of Contracts, ranging from agreements related to Transfer of Property (Commercial Leases, Leave and Licenses), EPC Contracts, O&M Agreements, Works Contracts, general commercial contracts like Facility Agreements (Loan Agreements), Joint venture Agreements, MoUs, Share Purchase Agreements to Non-disclosure Agreements, Purchase Orders.

- Should have capability to worked upon management of subsequent issues like drafting notices for defaults, renewal, termination, breach and force majeure situations, extension of time, during the Contract life or thereafter.

- Experience in dealing with legal issues of arising out Taxation laws and regulations.

- Experience of work on the issues of corporate governance and assisting the concerned function in compliance with applicable areas of Company law, rules, and regulations on functioning of Listed Companies, including experience with facilitating and streamlining the due diligence on behalf of the Legal Department in the procedure of listing, issuance/placement of securities in secondary market.

- Experience in handling legal issues arising out of banking, Institutional Finance and Loans; more specifically issues arising in different types of covenants in term loans, loans against immovable property, and moveable assets.


- Candidate must have experience in reviewing documents to be executed in loan transactions, facilitating due diligence compliance requirements on behalf of the borrower, collating, and furnishing documents required to supplement title search reports, valuation reports, vetting of Bank guarantees and securities.

- Candidate must have capability and competence to work with other verticals in the organisation and provide supervision and assistance in the nature by drafting of various internal documents related to policy, notices, correspondences, interpretation of various queries of external entities, due diligence in tenders, etc. Must have specifically undertaken drafting of various Legal opinions to supplement decision making internally and for external stakeholders.

- Must have experience in handling and assisting the organisation and concerned vertical in Employee management issues, Labour Laws, more pertinently Labor legislations, Employment agreements, Executive employment contracts, preparation of Legal pro-forma of incentives and perquisites, Non-compete agreements, Employee sharing/deputation arrangements within parent company and SPVs, and ensuring and facilitating resolution of various Human resource related issues, arising out of recruitment, termination, and other employee issues like issues arising under the Labour Laws like Provident Fund Act, ESIC Act, Industrial Dispute Act etc.

- Must be competent in handling Legal issues arising out of the Public Private Partnership Contracts of the clients in road sector, coal mining sector and other infrastructure sector in which the organisation works and handle legal issues in the Tender Documents being floated including but not limited to the RfQs, RfPs, Concession Agreements and providing Legal opinions on the same.

- Work also involves drafting, vetting correspondences to be initiated, maintained for and on behalf of the organisation. Handling the various Arbitrations initiated or against the various Clients, Contractors or the Third parties against the Organisation.

- Performing due diligence activities in merger and acquisition transactions of the Company and its subsidiaries.

- Manage and track contractual compliances, contribute to the Company's tracking processes / system and monitoring for contract compliance; identify non-compliance issues and support Contract Dispute Resolution (CDR) with stakeholders.

- Correspondence / Reply of Letters / Preparation of Extension of Time Notices / Variation Orders / Sufficing of Queries, etc. in connection with the Tender, Bid & Contract Agreements with respect to the various Projects of the Company.

- Participating in the development of Processes, Policy Framing, Review and advise Management on Legal implications of internal policies and procedures and ensure compliance with all statutory requirements with respect to Contracts / Agreements /related Arbitration.

- Continuously monitor compliance with statutory obligations and advise management accordingly and prepare monthly and quarterly consolidation of MIS reports for the department for executive management meetings in connection with Contract and related Arbitration.

- Advise Project Managers and Site Personnel on all aspects of Contract Management and establishing Standard Operating Procedures for implementation of the Contractual Provisions during and after Execution of Contract and ensuring compliance of the same by the on-site officials and Company Management.

- Responsible for monitoring of Agreement/contract, preparation, ensure consolidation of MIS.

- Proactively advise on and help to manage important changes in law and regulation with respect to the industry concern.

- Responsible for instructing & interacting with lawyers, filing cases, follow-up on behalf of the Company. comping from infrastructure/EPC Space
