Key skills :
- Candidate should have minimum 12 years of experience post qualification
- Currently should be heading the legal dept or 2nd level can be considered
- CS/LLB preferred
Preferred industry : FMCG/Durable/Pharma/Food/Retail/Beverages/Oil/Lubricant.
Job Profile:
Litigation Management (including civil, criminal and arbitration and IPR related cases) :
- Strategic thinking on Litigation requirements
- Ensure timely initiating legal proceedings
- Ensure timely attendance and response
- Ensure Database management of Litigation and on a quarterly basis present a daily updated legal cases review to the management.
Contract Management (including Franchisee Agreements, Contract Manufacturing, Lease Deed, Leave & License Agreements, Transportation Agreements, C & F Agreements) :
- Ensure Template Standardization
- Advice on Contract formats and requirements
- Ensure timely renewal and termination of contracts
- Ensure Database management of Contracts and on a quarterly basis present a daily updated review to the management.
IPR Management (including Trademarks, Copyrights, patents, designs) :
- Strategic thinking on IPR registration requirements
- Ensure timely application for new IPR or renewal of existing IPRs
- Ensure initiating and defending actions for Company's IPR protections and handling IPR related litigations
- Ensure Database management of Company's IPR and on a quarterly basis present a daily updated IPR database to the management.
Regulatory Affairs :
- Ensure timely renewal of plant level and other licenses / permissions by keeping a master data to be updated on a daily basis (b) Identifying and applying for new licenses / permissions for all plants and other locations
- Ensure review of product labels to comply with FSSA, Legal Metrology, IPR
- Ensure Legal proceedings management under FSSA, Legal Metrology and any other statute as may be applicable
- Advising on promotional activities to ensure they are in compliance with regulatory requirements
- Ensure complete compliance of all the units
Company Secretarial related compliance :
- Ensure timely compliances under the Companies Act, 1956 with respect to various filings
- Compliance of provisions relating to Section 297
- Timely filing of creation, modification and satisfaction of charge
- Drafting and finalization of Directors- Report and AGM/EGM Notices
- Conducting Board Meetings and General Meetings and recording minutes
- Providing certified copies of board meeting/General Meeting resolutions
- Maintenance and updation of various registers/records under Companies Act, 1956
- Ensure compliance related to cost audit fining (i) Documentation relating to bank facilities and term loans
Project Management :
- Ensure to carry out a due diligence of new project locations
- Ensure to apply and obtain all licenses and permissions
- To make timely representations to various Govt. agencies/departments for issues related to power, water, effluent discharge etc.
- To find out about the subsidies available at various states and avail of the eligible subsidies related to power, VAT, land, stamp duty etc.
- Undertake and timely implement any other project undertaken at Management's instance
Property issues :
- To carry our due diligence of new property e.g. residential/commercial/industrial
- To liaise with state industrial development corporations or private party for completing the land/property transaction and getting the same registered.
