Essential Qualification and Work Experience :

I. Law Graduate LLB / LLM from a reputed law school. Company Secretary

II. 15 - 20 years+, Corporate law practitioner

III. Ability to navigate employee related legal aspects

IV. Experience in ITES, IT sector roles

Soft Skills :

- Excellent communication and email etiquette skills

- Strong client interaction with high degree of internal and external stakeholder management

- Persuasive negotiator

Technical Skills:

- Sound knowledge of contracting protocols to protect SLK commercial interest - Persuasive negotiator

- Legal knowledge of various corporate laws and regulations, specializing in data protection and IT, Cyber crime, Forensic investigations, Services sector legal obligations

- Should be well networked with trade bodies, and industry legal counsels.

- Senior executive having cordial relations with local officials/authorities.

- Representing the company before various judicial, government, and regulatory authorities

B. Position Summary:

a)Leading the legal and compliance function for SLK Global Solutions

b)Identifying legal issues and risks that may affect the business, ensuring the business leadership is properly advised concerning those issues

c)Providing legal guidance relating to the formulation and implementation of strategy and policy

d)Implementing the legal and regulatory risk compliance program and to ensure that the business in complies with local and international payments legislation and regulation.

e)Providing legal and compliance knowledge for any M&A opportunities.

f)Being the - go to- person for the CEO, COO & Senior Management team and external agencies/ stake holders/ clients etc.

g)Lead all the litigation across the organization and the corporate law across the organization.

Essential duties and responsibilities include the following (other duties may be assigned) :

a. Developing and leading corporate legal strategy to promote and protect the company's matters

b. Developing and leading internal audit and corporate compliance programs

c. Overseeing delivery of legal services and resources to accomplish corporate goals, strategies and priorities

d. Maintaining proper corporate interactions with the relevant local, state and federal governmental bodies, legislatures and the community at large

e. Advising the C level execs and other senior corporate officers on a variety of issues

f. Participating in the formulation of general management policy as a member of the executive management team

g. Managing a team of corporate counsel and other members of the legal department

h. General Business Contracts and Agreements, MOUs, Commercial deals, Employment agreements, non-disclosure agreements, power of attorney etc., for various business purposes.

i. M&As agreements : M&A/merger/demerger/acquisition agreements, joint venture agreements, shareholders agreements, share purchase agreements, share subscription agreements, investments/divestment agreements, non-compete agreements, etc.

j. Handling due-diligence for M&A transactions; Financing transactions; Land Acquisition/Sale Transactions, etc.

k. To lead and protect the companys interest in litigations at courts and other legal forums.

l. To handle all arbitrations and litigation matter (civil and criminal) in India and abroad.

m. To represent the company at various litigation involving courts/arbitration/appellate authorities at the highest level in India and abroad.

n .Working on various domestic and international legal/business/commercial transactions; consulting and dealing with prominent Indian and international lawyers/counsels - to review the commercial agreements/transactions/legal cases; and to appropriately negotiate and effectively deal to ensure that the companys interests are protected.

o. Work with the business development teams to provide legal advice and support on new initiatives like alliances, investments, acquisitions, mergers, etc.

p. Support business divisions and teams by advising on various legal issues to facilitate smooth conduct of business.
