Job Summary: As the Legal Head of our NBFC (Non-Banking Financial Company), you will be responsible for providing strategic legal guidance, managing legal affairs, and ensuring compliance with regulatory requirements. You will lead the legal function, oversee a team of legal professionals, and play a key role in protecting the company's interests while supporting its growth and expansion objectives.
Key Responsibilities:
- Develop and implement the company's legal strategy in alignment with its business objectives and risk appetite.
- Provide strategic legal advice and guidance to senior management and the Board of Directors.
- Lead, mentor, and supervise a team of legal professionals, fostering a culture of excellence, collaboration, and continuous improvement.
- Oversee the development and implementation of compliance policies, procedures, and controls.
- Conduct periodic compliance reviews and audits to assess the effectiveness of compliance measures and identify areas for improvement.
- Review, draft, and negotiate a wide range of contracts and agreements, including loan agreements, service contracts, lease agreements, and vendor agreements.
- Identify, assess, and mitigate legal risks across all aspects of the company's operations, including lending activities, investment decisions, and regulatory compliance.
- Develop risk mitigation strategies and implement controls to minimize exposure to legal liabilities.
- Dispute Resolution and Litigation Management:
- Manage legal disputes, litigation, and arbitration proceedings involving the company.
- Work closely with external legal counsel to develop case strategies, oversee legal proceedings, and represent the company's interests in court or alternative dispute resolution forums.
- Ensure compliance with corporate governance requirements and facilitate effective governance practices.
- Support the Board of Directors and Board committees by providing legal advice, preparing board materials, and facilitating board meetings.
- Oversee the preparation and filing of regulatory reports, disclosures, and submissions required by regulatory authorities.
- Ensure timely and accurate compliance with regulatory filing requirements, including licensing renewals, financial reporting, and statutory filings.
Qualifications and Skills:
- Bachelor's degree in Law from a recognized university. A Master's degree in Law or relevant specialization may be preferred.
- Extensive experience in a legal leadership role within the financial services industry, with a deep understanding of NBFC regulations and compliance requirements.
- Strong negotiation skills and the ability to influence outcomes in complex legal matters.
- Proficiency in legal research, contract drafting, and regulatory analysis.
