Head - Finance - Industrial/Oil & Gas/Construction Business

Strategic

1) To support the Organization in developing finance organization strategy around corporate finance, finance operations and risk management.

2) To implement all strategic decision of the Board.

3) Forge and maintain relationships with Investors / financial institutions to broaden the sources for raising funds and keep abreast of any related developments in the market.

4) Keep track of developments relating to fund raising (Equity & Debt) amongst competitors for charting future course of action as needed.

5) Based on segment / sectoral risk evaluation and commercial viability evaluations, prepare a case for diluting / increasing stake in a project. Recommend and justify resource allocation to each sector in a manner that creates and protects value.

6) Resource Allocation

Financial

1) Invite and onborad strategic investors/partners into the company including negotiation of shareholder agreements.

2) Refinancing for existing projects on continuous basis to keep a check on interest cost.

3) To explore and pursue portfolio churning / divestment opportunities on continuous basis for better valuations

4) To do financial structuring of bids and ensure bid guardrails are met

5) Do fund structuring of capital for SPVs on their commencement.

6) Execute draw downs and manage disbursement.

Customer

1) To monitor compliance with Concession Agreements from F&A perspective, and with lenders agreements on loan covenants.

2) Finalization of Accounts and interaction with auditors / internal auditors/bank appointed auditors.

3)Overseeing the secretarial functions / compliances.

4) To maintain strong relationship with the Shareholders and Investors

5) Support lenders by ensuring compliance to agreements and financial parameters achievement.

6) Provide necessary inputs, establish and maintain relationship, negotiate, and manage exit as needed for partners / investors for various SPVs.

7) Investor Relationship

Internal Process/Operations

1) To prepare for board approval regarding budgets, periodical reviews and operational performance.

2) To monitor quality and standardization of Financial statements.

3) To satisfy the audit requirements with regards to the observations by Auditors.

4) To standardize cost control measures across portfolio SPVs.

5) Set corporate guidelines for authorization limits.

6) Review and monitor project budgets. Report budgetary performance as required.

Learning and Development

1. To keep abreast of all current developments in business and functional aspects and knowledge transfer to the team

2. To groom the team and develop successor.

3. To upgrade the skills of the team by providing learning opportunities.

4. To educate the cross - functional teams on certain key topics relevant to the business.
