Head - CS & Legal - Solar/Infrastructure Firm

Our Client is a leading Solar company / Infrastructure company.

Role : Noida / Gurgaon

Principal accountabilities are :

Secretarial and Compliance :

- Organizing and preparing agendas and papers for board meetings, committees and annual general meetings (AGMs). Taking minutes, drafting resolutions, lodging required forms and annual returns with Companies House. Following up on actions from meetings

- Providing support to committees and working parties such as the Board of Directors etc.

- Overseeing policies, making sure they are kept up to date and referred to the appropriate committee for approval

Legal:

- Provide legal support to the Management in India and Overseas. Protect Company's intellectual assets.

- Managing external counsel & providing general legal advice and responding to internal queries.

- Drafting of replies to legal notices from State level/Central level statutory authorities.

- Represents the company before law enforcement agencies and coordinates litigation activities with external partners/ agencies

- Providing advice in negotiation for JVs, M&A, and Demergers. Help in drafting proposals, contracts, agreements etc. or business transactions

- Initiate and formulate documents, reports, control systems and procedures relating to Legal and Secretarial department

Qualifications :

- Legal + CS Degree is a must

- At least 8 years experience in similar capacity in a public/private companies/Law firms. Experience should cover finance, trade agreement, JV, M&A, Corporate Affair.

- Possess diplomacy, meticulous attention to detail, good numerical, organizational and time management skills and a genuine interest in business.

- Strong communication, computing, secretarial and interpersonal skills
