Head - Company Secretary - Manufacturing Firm

We are looking for a qualified CS for a manufacturing company in Noida

1. This is a senior role with direct interaction with the management and board members, building and maintaining strong relationships with the key stakeholders.

2. Develop, maintain, and improve the company's corporate governance and compliance framework, ensuring compliance with all applicable laws and regulations, including company law, SEBI regulations, and other related laws.

3. Track compliance against all other laws and regulations relevant to the company, its group, and promoter companies.

4. Lead and execute the company's corporate governance and compliance strategy.

5. Provide advice and guidance to the management and board members on corporate governance and compliance matters.

6. Promote a culture of ethical and compliant behavior throughout the company.

7. Handle correspondence, collate information, write reports, and communicate decisions to relevant company stakeholders.

8. Prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs) and follow up on action points.

9. Convene and service AGMs, take minutes, and draft resolutions.

10. Provide legal, financial, and strategic advice as required and liaise with external regulators and advisers such as lawyers and auditors.

11. Pay dividends to shareholders and manage share option schemes opted by various shareholders.

12. Preparation of the Annual Report and that of its group companies.
