Key Accountability :
- Overall responsibility for developing and implementing processes to promote and sustain good corporate governance.
- To ensure that the company complies with the applicable regulatory guidelines. Ensure adequate processes and systems are in place to comply with the Secretarial standards.
- Ensure compliance with all applicable corporate laws.
- Draft, modify and implement company policies
- Collaborate with corporate counsels and HR departments to monitor enforcement of standards and regulations
- Assess the business's future ventures to identify possible compliance risks
- Review the work of colleagues when necessary to identify compliance issues and provide advice or training
- Keep abreast of regulatory developments within or outside of the company as well as evolving best practices in compliance control
- Prepare reports for senior management and external regulatory bodies as appropriate
Job Duties & responsibilities
- Ensure an efficient compliance reporting process to highlight all non- compliances.
- Arranging board/ general meetings and preparing minutes thereof. This responsibility will involve the issue of proper notices of meetings, preparation of agenda, circulation of relevant papers and taking and producing minutes to record the business transacted at the meetings and the decisions taken.
- Advising directors on their duties, and ensuring that they comply with corporate legislation and the Articles of Association of the Company.
- Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate, Securities and Other Business Laws and regulations and guidelines made thereunder.
Required Experience
- 12 - 15 years Post Qualification Experience - Company secretary & Compliance role especially in BFSI Sector
- Conversant with ICSI Secretarial standards
Education / Preferred Qualifications :
- Mandatory : Member of the Institute of Company Secretaries of India
- LL. B - desired though not mandatory
