Company Secretary &amp; Compliance Head (CS compulsory) Responsibilities: - The position would be independently in charge of Secretarial, Compliance and Credit Risk, responsible to protect the company's reputation and compliance risk. Drafting, reviewing, negotiating and settling transactional documents &amp; agreements; Preparing Manuals / Policy Documents as may be required. Managing Secretarial, Corporate Governance &amp; Compliance activities. Ensure compliance with applicable laws, regulations as well as adherence to internal group policies and procedures. Undertake research activities to provide inputs on compliance matters. Develop effective relationship and engagement with internal stakeholders, clients, business associates and other function groups. Advising on secretarial and compliance matters. Responsible to protect the reputation and compliance risk - Responsible for complying with all the applicable provisions under the Companies Act, rules and regulations, Prevention of Money Laundering Act, FEMA, SEBI, etc. Responsible to protect the interest of the company, stakeholders and directors by complying with the requirements of applicable statues and monitor the compliance with guidelines applicable to the company - Conducting Board Meetings, Committee Meetings &amp; General Meetings, Drafting notices, Agenda, Minutes and resolutions of Board and Shareholders Meetings. Preparation of Action Taken Report of Board/Committee Meetings and reporting the status in the next meeting. Ensuring all regulatory compliances and returns are filed timely. Ensuring that no adverse secretarial comments on Corporate Secretarial Function by Statutory Auditor/ Secretarial Auditors during Audits. Framing of various Polices in the Company as per the requirement of the Companies Act 2014 and ensuring Compliance of the same. - Ensuring that the Company is on track with the responsibilities under Company Laws. Ensuring that the returns are filed within timelines and registers are maintained. - Responsible for managing and establishing overall compliance framework across the organization. - Leading and providing strategic direction to the management on key business transaction in relation to associated risks and pragmatic options for risk identifications, mitigation and management. - Scrutinizing and sketching various compliance policies so as to assure proper internal controls and relevant checks and balances. Setting up systems, procedures in line with management policy, legal-regulatory environment of business and group framework to ensure proper controls. - To assure that the Company policies, processes and business practices are in compliance with statutory, regulatory and group's best practices. - Interacting with internal and external clients, coordinating with management on Company policies - Conducting investigations, making recommendations and taking disciplinary actions in matter related to breach of Company's internal policies related to Anti-Fraud, code of conduct and corporate governance guidelines. - Assisting on key internal audit reviews and advising internal team on identification and management of key business risks. - Regular review of emerging trends and ensuring that Company's existing policies, process and practices are marked to emerging trends accordingly. - Formulate, manage and implementation of the Statutory Compliance Calendar and Regulatory filing / returns. Maintaining various Registers. Identification of operational bottlenecks in terms of system issues &amp; getting them resolved on time. - Imparting compliance training to target internal groups and advocating value based culture and accountability for risk, governance and compliance. - Regular compliance update to management team and Risk Management Committee / Board
