Job Title: Senior Manager - Legal
Location: Gurgaon
Reporting to: Cofounder & CFO
Team - 1 Legal Manager and 1 Legal Executive
Key Responsibilities:
- Leading all the legal matters @ nearbuy
- Implementing systems and legal practices to secure the best interests of the organization
- Ensure compliance to all Indian and Singapore statutory and legal regulations applicable on the Company
- Review and advise management on legal implications of internal policies and procedures. Updating top management of all the strategic legal issues
- Vetting all agreements, MOUs, letters, notices or any other legal document to be executed by the company
- Liaising with law firms/lawyer for various of legal requirements
- Manage the legal work of new funding rounds and ensure compliance to all the Shareholding and Share Subscription agreements
- Manage the legal work of all the mergers and acquisitions done by company in India and outside
- Vetting Deal Agreements on a regular basis and resolving Merchant queries
- Manage all FDI/ FEMA related compliances and RBI Reportings
- Managing all national and state specific HR/Other compliances in 30 cities in India where nearbuy is present
- Handle all the matters of intellectual property laws, trademark filing process and ability to assess the legal risks associated with it
- Should possess sharp legal research skills to assess the legal risk and ensure due compliance with any upcoming project/ deal, and suggest management accordingly
- Represent Company before the Courts, Forums, Company Law Board, or any other quasi-judicial body or government agency
- Provide legal training to the business's due diligence and QA teams to ensure compliance
- Maintaining sustained contact with legal professionals and government officials for initiating and follow-ups on legal procedures
- Formulate compliance check-lists to be used for the purpose of ensuring legal compliance
Key Requirements :
- Law Degree from a premier Indian institution
- Minimum 8 to 12 years of progressive legal work experience
- Strong knowledge of all Corporate Laws and FEMA
- Excellent attention to detail, commitment to accuracy and focus on results
- Strong commercial acumen and ability to partner with Business teams
- Self-motivator and entrepreneurial attitude to work with minimum supervision
- Strong interpersonal, management and leadership skills
- Willingness to take initiative and to follow through on projects and tasks
- Strong ability to work in a deadline-oriented environment with a high degree of accuracy
Salary Range: 14-24 LPA
