Qualification- CS must with LLB/CA/ICWA  Experience- 10+ yrs in global Secretarial functions in the Industry   Main Purpose of job- Ensure performance of all company Secretarial functions and ensure all Secretarial compliances at Global level.Acts as the facilitator between Shareholders ; Board of Directors ; regulatory agencies and Service providers mainly of overseas Subsidiaries in order to safeguard the interest from Corporate laws perspective.  Main responsibilities:   - Adoption of best corporate governance practices as per International guidelines at India and global level ;  - Tracking and Understanding the statutory requirements as per Indian Companies Act and Corporate laws applicable to the overseas subsidiaries;  - Provide Secretarial Inputs on implementation of Corporate plans towards growth / expansion including restructuring at global level;  - Review Secretarial functions of all overseas Subsidiary companies and proper planning and implementation at all levels ;  - Updating relevant global users in respect of changes in corporate laws;  - Convening the Board Meetings of operational subsidiaries including preparation of agenda/minutes, post meeting follow ups etc;   - Preparation of majority of circular resolutions (in-house) for Board/Shareholders and ensuring compliances as per local laws for all the subsidiaries (43 Nos.);  - Smooth handling of AGMs /approval of accounts of all overseas subsidiaries;  - Liaison with the service provider firms of various subsidiaries to ensure the secretarial compliances;  - Should have strong knowledge in Indian Companies Act, Global Corporate Laws,SEBI Regulations,Basic Accounts &  Allied Laws  For more details, you can contact me at 9899827107.  Tulika
