Job Overview:

We are seeking a highly experienced and qualified Company Secretary to join our team in the NBFC Microfinance industry. The candidate will play a crucial role in ensuring compliance with statutory and regulatory requirements, managing corporate governance matters, and providing valuable support to the Board of Directors and Senior Management. The ideal candidate should possess a strong background in handling company secretarial functions, particularly in the context of a public listed company, along with in-depth knowledge of the microfinance industry.

Responsibilities:

Compliance and Regulatory Governance:

- Ensure compliance with the provisions of Companies Act, 2013, and other applicable laws and regulations relevant to the NBFC Microfinance industry.

- Monitor changes in legislation and update management on relevant compliance developments.

- Prepare and file necessary forms, returns, and reports with regulatory authorities.

Board and Shareholders' Meetings:

- Organize and facilitate Board meetings, Annual General Meetings, and Extraordinary General Meetings.

- Prepare agendas, minutes, and resolutions for these meetings, ensuring legal and procedural requirements are met.

- Assist in conducting board evaluations and implement recommendations for improvement.

Corporate Governance and Ethics:

- Implement best practices in corporate governance and ensure adherence to ethical standards across the organization.

- Advise the Board and Management on corporate governance matters.

- Establish and maintain effective communication with stakeholders, ensuring transparent disclosure of relevant information.

Legal Documentation and Agreements:

- Draft and review legal agreements, contracts, and other legal documents as required.

- Assist in the preparation and filing of various statutory reports and disclosures.

Investor Relations:

- Liaise with shareholders, investors, and regulatory bodies on company-related matters.

- Assist in managing communication with stakeholders, responding to inquiries and ensuring timely and accurate disclosures.

Statutory Record Keeping:

- Maintain and update statutory registers, books of accounts, and other relevant records as per the applicable laws.

- Ensure proper maintenance and safekeeping of important legal documents.

Corporate Restructuring and Compliance:

- Provide support in mergers, acquisitions, and other corporate restructuring activities.

- Ensure compliance with the necessary legal and regulatory requirements during restructuring processes.

Risk Management and Internal Controls:

- Collaborate with internal departments to establish and maintain effective internal controls.

- Support risk management initiatives and ensure adequate risk mitigation measures are in place.

Requirements:

- A qualified Company Secretary with at least 12 years of experience in the NBFC/Microfinance industry is MANDATORY.

- Proven experience in a publicly listed company with a strong understanding of listed company compliance requirements is MANDATORY.

- Thorough knowledge of relevant laws, regulations, and guidelines related to the NBFC Microfinance sector.

- Excellent communication and interpersonal skills to effectively engage with stakeholders.

- Strong analytical and problem-solving abilities with attention to detail.

- Ability to work independently, handle confidential information, and manage multiple priorities effectively.
