Looking for a GM -Secretarial Practices with 15-25 years of post CS experience and with experience in handling Real Estate Secretarial matters, min 40 companies, should be well versed with the new companies act and the implementation part.
Responsibilities would include:
- Handling entire gamut of Secretarial activities of all Group Companies
- Ensuring that Group Companies has appropriate compliance framework related to all applicable laws, regulations and internal policies
- Advising the business on compliance issues and regulatory risks pertaining to Business
- Being responsible as a Company secretary for compliance of the group companies compliances in company law
- Maintaining of secretarial records, statutory records, registers and other documentations
- Corporate Law Advisory, Advising the Company on Compliance of secretarial, legal and procedural aspects
- Preparation of Notices, Agenda and working papers for Board meetings and Annual General Meeting / Extra-ordinary General meetings and Minutes for all group companies
- Preparation and filing of various e-forms, Annual Returns, Annual filing XBRL mode and the entire event based and time based filing with Ministry of Corporate Affairs as required under the Companies Act, 1956 & 2013
- Incorporation of Companies, Alteration in Memoradum of Association & in Articles of Association, Increase in Authorised Share Capital, Allotment of shares, Filing Return of Allotment, Commencement of New Business, Transfer & Transmission
- Vetting of loan documents and handling matters relating to raising of capital and compliances
- Attending to various queries from & Liasioning with auditors, bankers, inter department, external agencies, Government authorities, ROC, etc.
- Handling compliance with FEMA/RBI/FDI;
- RBI filings and FEMA Compliances related to Foreign Direct Investments
- Handling Investor Relations; Private Equity and Realty Funds, AIFs, Fund Managers
- Drafting and vetting of Joint Venture/ Shareholders’ Agreements
