Desired skills:
- Minimum Between 15-20 years of experience in Legal.
- Ability to lead function for other subsidiary companies.
- Should be well versed with IP Act-Trademarks, IT Act, CLB (Company Law Board), Liaison with RBI/SEBI, etc.
Role & Responsibilities:
Contracts, claims, dues management:
- Legal settling of claims against the company
- Recovery of dues from customers
- Establishes system that identifies areas of criticality or high risk from a legal perspective and designs contingency plans around each identified element
- Establishes compliance timetable for activities requiring review
- Ensure timely and proactive tax and legal advice on significant transactions, M&As, corporate restructures, and other tax-related initiatives
Compliance with corporate laws:
- Assess and mitigate compliance risk on corporate laws
- Compliance with provisions applicable to the company and all subsidiary companies
- Compliance to tax laws eg: timely fulfillment of all tax obligations by all units of the company
- Compliance with rules and regulations of exchanges
- Keep track of changes in law and regulations that impact the organization
- Establishes an audit process that regularly evaluates the position of the organization in regards to compliance
- Establishes compliance timetable for activities requiring review
- Primary interface with the company's external auditors, lawyers, consultants and investors
- Providing legal advice/counsel in business-related areas
- Researching, analysing, and interpreting proposed and existing laws, statutes, and regulations
- Identifying, monitoring and addressing issues of legal risk
- Structuring, drafting, negotiating and/or approving legal contracts, letters of agreement, policies and other documents
- Representing/advocating for an organization in litigation, arbitration, mediation or other disputes with courts, government agencies, or other legal authorities.
Regulatory Affairs:
- Ensuring the organization is aware of and compliant with legislation and regulations pertaining to the business
- Monitoring/interpreting regulatory developments and determining the impact on business operations and compliance programs
- Compliance implementation
- Regulatory reporting/documentation for internal and external audiences
- Gathering data, preparing, reviewing, and/or approving regulatory compliance documents
Compliance:
- Activities include employee compliance training and ensuring employee completion of all required courses; auditing compliance with programs & procedures, investigating complaints, and verifying that deficiencies are corrected.
