Position : GM / DGM - Company Secretary  Reports to: Head of CS  Industry: Outsourcing/Offshoring  Location: Mumbai  Team Size: 2 - 4 members   About Client:  Our client is a leading MNC in the outsourcing / ITES industry. The organization has a global presence - across all the major continents with employee strength of 10K+ globally.   Job Role:  The role entails managing the entire secretarial function of the Organization as a whole with its International subsidiaries. At a broad level, the CS would look after Secretarial Compliance of all worldwide subsidiaries related to the drafting of Board resolutions & other documentation, ensuring overall risks in terms of Corporate Law Compliance for the group and FEMA Compliances relating to filing Annual Returns / Annual Performance Reports.  We are looking for a smart and matured CS qualified professional with over 7 years of total experience. Must have worked in a listed MNC organization for minimum 3 - 4 years with hands-on exposure to FEMA Compliance.  Key Responsibilities:   - Matters related to Corporate Laws (Company's act and allied regulations).  - Ensuring Group Secretarial Compliances.  - FEMA Compliances relating to filing Annual Returns / Annual Performance Reports.  - MCA filings; maintaining statutory records, registers, and other documentation.  - Documentations, drafting and preparing Board meeting agenda/notes/documentation and minutes of the board meeting and committees of the board, Pro-actively documenting/preparing executive team for board action/agenda   - Conducting Board meetings, Co-ordination with Directors.  Desired Skills and Expertise:  1. Must be a CS certified professional with over 7 years of experience in Secretarial matters.  2. Must have worked for minimum 3 - 4 years in MNC culture (Listed Company) with hands-on exposure to FEMA Compliance.  3. Preferably looking for people from service industry (Telecom, BPO / ITES, Hospitality, Banking and Financial Service, Insurance, etc.)
