Summary of Role and Responsibilities: The role is responsible for leading the Legal vertical for the platform and provide support and advise to the Management for all legal matters including Real Estate transactions, deal analysis and structuring, supporting Business Development and internal committees in decision making process for new investments, exits, restructurings, asset management, business risk issues and regulatory compliance. Job Description in brief: - Responsible for driving title diligence, litigation check, corporate diligence, negotiating term sheet, deal analysis and structuring, undertake complete documentation including Joint Development Agreements, Development Management Agreements, Share purchase Agreements, Shareholders Agreement, Property Management Agreement, Sale Deeds, Lease Deeds, Power of Attorneys, MOUs, Escrow Agreements etc. and deliver the results in a timely manner, highlighting all legal risks to all stakeholders; - Participate in negotiations together with Business Development and Finance teams on agreements with land owners/ developers/ joint ventures and undertake complete documentation including JDAs, DMAs etc.; - Managing legal activities across all assets of the Company by assisting investment team with portfolio management matters, asset management and post deal monitoring work; - Handle all aspects of litigation by or against the Company including issuing notices, response, filing pleadings, monitor and report on the ongoing proceedings, prepare risk mitigating strategies etc.; - Ensure standardization of all necessary legal documentation for all Leasing and D&B Contracts, develop standard guidelines for regular contracts; - Participate in establishing the standards of compliance and evaluation for project acquisition - Ensure that legal queries raised by the customers are addressed in a time bound manner and develop mitigation plans in the event any customer raises a legal notice against the organization; - Provide support to internal functions in the areas of brand protection, logo protection and intellectual property rights protection; - Assist in instituting proper systems to enable monitoring and ensuring legal compliances in the Company; - Provide support to external legal counsel in terms of all necessary information in matters related to litigation. Stakeholder Interactions: Internal: Business Development, Leasing, Finance & Accounts, Marketing, Contracts, Projects & technical teams External: Land owners, Statutory Authorities, Vendors, Contractors, Law firms and Consultants Academics and Experience: - Law Degree from a premier institute with 10+ years of experience in the area of Real Estate Laws, Asset Acquisition, Deal Structuring, Litigation and documentation; - Candidates having worked with Real Estate Developer, Law firms, Private Equity Firm specializing in Real Estate Transactions in India will be preferred; - Sound knowledge of Real Estate Laws, Statutory approvals, Foreign Exchange laws, Foreign Direct Investment and other permitted foreign investment routes;
