Currently hiring General Counsel - Legal for an Indian MNC that is into Industrial Manufacturing located in Bangalore, India.   Must Have’s:  - Must be a LLB.  - 8-15 Years post qualification Experience from any Manufacturing Industry.  - Must have handled Litigation and Regulatory Compliance.  - Must have handled Company Secretarial responsibilities.  Reporting : This role reports to CEO & Managing Director.  Job Description:  - Provide expert legal advice to senior level management, board members and any employee who acts on behalf of an organization.  - Compliance report to the Board.  - Develop an in-depth understanding of how legal issues affect the Company.  - Well-versed knowledge in various laws including corporate laws, labour laws, etc.  - High degree of professional ethics, excellent judgement along with analytical, interpersonal, listening, oral and written communication skills.  - Set internal corporate governance policies and manage the impact of external factors such as contractual matters, litigation, property transactions, taxation policies and regulatory matters.  - Proactive compliance to prevent defaults and monitor compliance regularly.  - Providing strategic legal inputs to business.  - Strategising and monitoring litigation.  - Put Systems in place to facilitate compliance and monitor adherence.  - Due Diligence and legal support for mergers and acquisitions.  - Registration and protection of Trade Marks and other intellectual properties.  - Legal documentation - standardize formats and implementation.  - Contract Management and database.  - Industrial Licenses.  - Authority Matrix - review and monitor.  - Standard Operating Procedures and Policies.  - Restructuring of the group.  - Support risk management and mitigation.  - Corporate Governance and shareholder relationships.  - Support and facilitate fund raising - equity and debt.  Qualification:  - LLB  - ACS (preferable)
