Qualifications and Experience:

Required - Company Secretary

Preferred addl. Qualification - LLB

Minimum 3 years of experience working in the Secretarial / Compliance team of BSE / NSE listed entity

Key Skills:

Sound knowledge of all corporate laws and procedures not limited to Companies Act / SEBI / RBI Compliance, Contract drafting

Strong analytical skills with attention for detail, Strong verbal and written communication skills, Ability to meet deadlines

Job Description:

Companies Act, 2013

- Compliances with all the regulatory requirements under the Companies Act

- Formation of companies

- Drafting of Minutes/Agenda/Notices

- Maintenance of Statutory Registers

- Filing of statutory forms with RoC

SEBI-

- Compliance of the provisions of- SEBI- [Listing Obligations and Disclosure Requirements] Regulations, 2015

- Monitoring of investment limits & filing

- Compliance of the Listing Agreement with Exchanges

RBI-

- Preparation and timely review of various policies required for NBFC's in compliance with revised RBI Circulars and other internal policies

Legal-

- Work with legal advisors, due diligence partners for drafting of agreements

- Assist in conducting background check & legal due diligence of investee companies

- Drafting and vetting of notices, contracts, MOU, reply, agreements

Miscellaneous -

- Introduce industry best practices with respect to compliance and corporate governance

- Assist the department head to drive statutory compliance and suggest process improvements
