Role &amp; Responsibilities : The Company Secretary provides a link between the company and its Board of Directors, shareholders, government and regulatory authorities and all other company stakeholders. The Company Secretary will be responsible for the effective and independent management of corporate compliances under the Companies Act of 2013 and Secretarial Standards and report to the board. The Candidate will ensure that Board procedures are followed and regularly reviewed and will provide guidance to the Chairman and the Directors on their responsibilities under applicable Indian laws and regulations. AREAS OF EXPERTISE : Secretarial and Corporate Affairs Functions : - Conducting of Board Meetings Independently - Conduct Board meetings end to end, including presentations for board meetings, related documents preparation, and circulation, interacting with investors teams and taking it to closure - The timely preparation of the Agenda and Minutes for all Executive Committee meetings, Board Meetings, Audit Committee Meetings et all - The coordination of all board meetings and related follow up actions thereof. Conducting of Shareholders Meetings Independently : - Conduct Shareholder meetings end to end, including presentations for meetings, related documents preparation and circulation, interacting with shareholders for clarifications and taking it to closure - The coordination of all general meetings and related follow up actions thereof. - Ensuring highest level of Corporate Governance and Corporate Secretarial Compliances - Handling of fund/ debt raising and related documentation such as Term Sheets, Shareholder Agreement, Share Subscription Agreement, Deed of Hypothecation, Trust Deed, etc Legal Matters : - Review &amp; Execution of Contracts - Drafting &amp; vetting of various business contracts/ agreements (national and international) like NDA /Procurement /Lease/Shareholders Agreement/Media/ Advertisement/Consultancy Agreements etc. - Documentation with Bankers viz; Loan Deed, Bank Guarantee, PoA etc. Filings of Charges, Modification, and Satisfaction. - Preparation and submission of Intellectual Property (IP) application and getting an approval of the same - Providing legal guidance and support to various teams. - Preparation of Background notes and ensuring the legal administration in various legal matters. - Good exposure to best Corporate Governance of a listed/unlisted Company. - Independently handle Legal Due diligence for fundraising. Litigation Management : - Instituting and /or defending legal cases on behalf of Company - Liasoning and coordinating with external legal counsel - Reporting to the management on legal issues and suggesting the remedial actions and avoidance of further litigations. Requisites : - A qualified Company Secretary with previous secretarial legal and compliance experience in middle or senior management, with at least 10 to 15 years of relevant experience. - Post Graduate Degree Legal Degree is desirable but not essential. However, someone with an LLB Degree would be given added preference - Strong Academic credentials. - Excellent writing and communication skills are essential. - Experience with working in an international environment is desirable. - Experience with working in a startup is desirable.
