Job Description:
Department: Legal and Compliance
Job Summary:
As a Company Secretary with an LLB degree, your primary responsibility will be to ensure the legal compliance and governance of the company. You will act as a key advisor to the company's board of directors, executive management, and various stakeholders on matters relating to corporate law, regulations, and best practices. Your expertise in both company secretarial duties and legal knowledge will be essential in maintaining the company's integrity and ensuring compliance with relevant laws and regulations.
Responsibilities:
Corporate Governance:
- Provide guidance to the board of directors on corporate governance matters, ensuring compliance with legal and regulatory requirements.
- Prepare and maintain board and committee meeting agendas, minutes, resolutions, and related documentation.
- Assist in the implementation and monitoring of corporate governance policies and procedures.
Legal Compliance:
- Stay up-to-date with changes in laws, regulations, and industry practices that may affect the company's operations.
- Conduct legal research and provide accurate and timely advice to management on legal and regulatory issues.
- Develop and maintain a comprehensive understanding of the company's business activities to ensure compliance across all departments.
- Assist in drafting and reviewing legal agreements, contracts, policies, and other legal documents.
Company Secretarial Duties:
- Ensure compliance with statutory and regulatory requirements and maintain company records.
- Prepare and file statutory forms, resolutions, and other necessary documents with government authorities.
- Organize and manage board and committee meetings, including logistics, documentation, and follow-up actions.
- Coordinate with internal stakeholders and external advisors for the timely completion of various company secretarial tasks.
Risk Management:
- Identify potential legal and compliance risks and develop strategies to mitigate them.
- Collaborate with relevant departments to implement and monitor risk management programs.
- Conduct internal audits and reviews to identify areas for improvement and ensure compliance with policies and procedures.
Stakeholder Engagement:
- Liaise with external stakeholders, such as regulatory bodies, government agencies, and legal advisors.
- Respond to queries and requests for information from stakeholders regarding legal and compliance matters.
- Provide guidance and training to employees on legal and compliance-related topics.
Qualifications and Requirements:
- LLB degree from a recognized university or equivalent legal qualification.
- Membership of a recognized professional legal association or institute.
- Proven experience as a Company Secretary or in a similar role, preferably in a corporate environment.
- In-depth knowledge of company law, corporate governance, and relevant regulations.
- Strong understanding of legal and compliance principles and practices.
- Excellent written and verbal communication skills.
- Ability to analyze complex legal issues and provide practical solutions.
- Attention to detail and high level of accuracy.
- Strong organizational and time management skills.
- Proficiency in using legal research tools and software.
