Job Purpose: The CO will handle all periodic (quarterly, half yearly and annual) compliance with various authorities with specific focus on SEBI related compliance (from REIT regulations perspective) and arrange the necessary information and documents for complete compliance. Additionally, the individual will also be responsible for managing the legal and secretarial functions of the organization.

Key Responsibilities:

1. Ensure complete and comprehensive SEBI and related compliances

2. Oversee compliance by designated teams with statutes pertaining to MIDC, MSEDCL, KIADB, BESCOM, SEZ, Labor Laws, State Laws, Contracts, Property Tax Laws and all applicable statutes and as aligned to the relevant states. See implications from big-picture, risk, disclosure and SEBI perspective.

3. Oversight of coordination by designated teams with Government agencies at State and Central level to maximize fiscal benefits incentives/concessions through various government policies to all our on-going and developed projects across portfolios to reduce project costs and value-add to the clients:

a) SEZ / STPI / EPCG / DGFT / Customs / BESCOM interface with Business Heads and Government Agencies for obtaining various approvals, notifications etc., MIS reports of all SEZ IT Parks.

b) Approvals on behalf of Developer and Co-Developer benefitting Clients (Form A1/A2 etc.) in the business parks.

c) Establish review and reporting mechanism for all of above.

d) Automate tracking of all compliance requirements for all verticals - viz. Labor, Technical, Finance, and Accounts, SEZ, etc.

4. Set up and monitor risk management processes for the entity

5. Coordinate, obtain, track and report for upcoming/ongoing projects for statutory obligations like Plan approvals, NOCS, MOEF clearance, KSPCB NOC, AAI, Fire NOC, BESCOM, BWSSB/Village Panchayat NOC/KGWA NOC, BSNL NOC, Sensitive Zone Clearance, BBMP Khataa, etc.

6. Oversee creation & filing of relevant documents, returns & forms, liaise with external regulators, auditors, government authorities, investors, strategic partners, accounting, secretarial, and tax agents on all related statutory audit, filing and compliance. Handling investor's grievance if any and providing timely information to them.

7. Continue to be in speed with latest amendments to statutory laws and obligations, corporate and other laws. Analyze, interpret and evaluate such amendments under various requirements. Understand and monitor the Company's operations, identify and interpret applicable laws and effect statutory compliance. Identify user needs, incorporating the information in the agenda of the Board Meetings, obtaining the consent of the Board and Members where necessary and implementing decisions taken at the Board and Member meetings.

8. Ensure compliance with the Subsidiary Governance Policy, Companies Act, Other relevant legislation and any standards/guidelines issued by Group Corporate Secretariat.

9. Manage the requirement to file reports or events with various regulators and/or Companies Registry and to act as a focal point of contact with the Board of Directors and shareholders of the company.

10. Ensure there is a robust Board & Shareholders meeting planning & recording process in place including, but not limited to, rolling agendas in advance in a timely manner, provision of board papers and liaison with the business.

11. Provide up-to-date and relevant guidance to the Board, Directors (including training and induction) and the business on the application and interpretation of legislation, governance regulations and policies relating to corporate governance applicable to the business.

12. Manage the legal processes for M&A activities and assisting the board with such activities for Embassy Office Parks. Oversee the legal aspects related to leasing and related services including vendor agreements across all the Parks.

13. Ensure robust support for business verticals by providing proactive and pragmatic advice /solutions to the business on all legal and regulatory matters.

Qualifications and Work Experience:

About 10-14 years of post-qualification experience in Compliance framework with specific experience in listing a company and managing SEBI compliances post listing. Must have a good network. Preferred qualification as LLB with Company Secretary and experience in real estate or Infrastructure Company.

Knowledge, Skills and Competencies:

- Proactive with honed alertness and vigilance to potential breaches in compliance

- Ability to actively enforce mandatory reporting policy and seek out any weakness in company dealings

- Fair and modest - Willing to scrutinize all the facts without making a snap judgment

- Diligent: Even when it becomes a hassle, must be willing to see an issue through to resolution

- Conviction and the strength to stand by difficult decisions

- Intelligent and willing to keep learning: Constantly changing legislation, staying on top of things is vital.

- Excellent written and verbal skills

- Ability to collaborate with the executive team and working well with peers & team members to solve issues in a seamless and effective manner
