Edelweiss Financial Services - Legal Role - Private Debt - LLB

- To render legal advice to the business team and client with respect to structured finance transaction by way of issue of non-convertible debentures;

- Drafting/vetting, negotiating and closing various transaction documents in relation to investment in non-convertible debenture/quasi equity instruments;

- To advise on the structuring of the deal and security structure considering the applicable laws and regulations

- To maintain MIS and dealsheet for tracking

- To draft notices and handle litigations and take necessary steps as and when required

- To handle legal work related to Infra SPV

Functional Responsibilities :

- Structuring the deals and finalizing the transaction Termsheet

- Drafting/vetting of transaction documents for NCD related transaction

- Drafting/vetting of debenture trust deed/security documents /pledge agreement/ guarantee/hypothecation deed/ indenture of mortgage /Undertakings /POAs and other transaction document related to NCD transaction

- Negotiating the transaction documents as above with company and Finalizing the same

- Drafting/vetting the corporate and regulatory compliances/resolutions/certificates/NOCs required for investment in NCD and creation of security as mentioned above

- Ensuring receipt of signed compliances (corporate /regulatory) as required for debenture transaction

- A perusal of title deeds and finalization of due diligence report prepared by external counsel after consultation with external counsel

- Advising on day to day legal issue in Infra SPVs and providing support in advise and documentation

- Handling the legal cases in civil court/IBC/High Court relating to recovery and enforcement of security

Job Requirements:

- Qualifications LLB degree from reputed institution with minimum 5-6 years of post-qualification experience

- Minimum 3-4 years of continuous prior lending experience of similar work as above either in Banks/NBFC/Fund or reputed law firm handling debt transactions

- Independent handling, drafting, and closure of transaction for 3 continuous years is a must

- Infra experience is preferred

Functional Competencies

- Must be well versed with companies act 1956/2013 and Rules with all amendments with respect to lending/investment transactions

- Must be well versed with the provision of IBC, transfer of Property Act, contract Act, DRT Act, SARFAESI, SEBI Debt Regulation, CPC, NI Act, CRPC, SEBI Takeover Code, SEBI ICDR regulation
