Position - GM/AVP (Based on experience) Department - Property Acquisition Exp - 15+ Location - Thane Duties &amp; Responsibilities: - Review the Company's litigation matters and advice Management on options available. Investigate, research, analyze the legal matters and appointment of appropriate Solicitors based on their past performances. Liaising with Solicitors for initiating and follow-ups on legal procedures, handling civil, criminal &amp; arbitration cases - Review and draft responses to Legal notices received in coordination with Solicitors / Attorney to ensure that responses are filed within stipulated time frame as decided by the Court of Law. - Meet concerned litigation parties / attorney to negotiate &amp; settle matters amicably hence mitigating loss of time and revenue. Update Management of the proceedings and obtain approvals on proposed solutions for amicable resolution of the matter. - Coordinate with other departments for their legal requirements and obtain understanding of legal issues / arbitration matters. Draft and file complaints / law suits on behalf of the company in the Court of Law through Solicitors. Represent the Management for Appeals / Hearings in various Courts and influence suitable favourable verdicts / judgments for the company to protect the company's interest - Liaise with the government authorities and other statutory bodies in order to comply with rules and regulations for smooth execution of the projects. Excellent rapport with revenue and other Govt. officials in the State.To represent the company at meetings with external bodies to ensure that the legal aspects of any decisions are fully considered. - Carry out various due diligences of company's land banks and other joint ventures etc to ensure that all legal &amp; statutory requirements are in order. Obtain and maintain a database required documents for ready references. Brief Management in case of any lapse and recommend / initiate corrective actions to avoid legal hassles - Responsible for overseeing all non litigation legal matters and providing legal expertise to the organisation while executing commercial agreements &amp; transactions, JV agreements, development agreements, contracts document etc and ensure all legal obligations and terms are captured to protect the company's interest and mitigate any risk which may arise from the same. - Review and drafting of MOU / LOI, Agreements for Sale, construction contracts, Conveyance Deeds, Part Performance Agreements, Power of Attorney, documentation for contracts, non-disclosure letters, confidentiality agreements, Affidavits, Undertakings, Board Resolutions etc and other connected documents - Carry out due diligences of existing documents like Sales deed, contracts &amp; tender documents, non-disclosure agreements, tri-partite agreements etc and provide legal expertise to ensure that the documents are legally correct and that the company's interests are protected. Proactively implement framework to mitigate legal risk. - Supervise the application / registration of Trademarks, Copyrights, etc of Design, Product, Logos, Brands, and Name etc. Maintain a database / record of approvals received and pending cases. Sending notices, responses etc. for violation of trademark and patent. Supervise filing of appeals with concerned authorities and initiating legal action, where ever required
