DGM - Contracts & Compliance


Role & responsibilities:


1. Contract Review and Drafting:

Commercial Contracts:

a) Review and analyze commercial contracts, identifying potential risks and discrepancies.

b) Ensure alignment with organizational policies, regulatory requirements, and industry standards.

c) Propose necessary amendments to enhance contract clarity and effectiveness.

Joint Venture Agreements:

a) Participate in the drafting and vetting of joint venture agreements.

b) Verify that terms are equitable and legally sound.

2. Contract Lifecycle Management (CLM):

a) Lead the end-to-end contract lifecycle management process:

b) Create and maintain a database of contract templates, including non disclosure agreements, non-competes, release forms, partnership agreements, purchase orders, employment contracts, and independent contractor agreements.

c) Monitor contract milestones, renewal dates, and termination deadlines.

d) Ensure timely execution of contracts and adherence to terms.

3. Negotiation and Compliance:

a) Engage in negotiations with vendors, suppliers, and clients to achieve favorable contract terms.

b) Monitor compliance with contractual obligations throughout the contract duration.

c) Stay informed about legal and regulatory changes that impact contracts.

4. Legal Collaboration:

Partner with legal teams to:

a) Address complex legal issues related to contracts.

b) Optimize contract language and minimize legal risks.

c) Enhance overall contract management efficiency.

5. Key Skill Sets:

a) Analytical Skills: Ability to dissect contract language, assess risks, and propose solutions.

b) Communication Skills: Effective communication with internal and external stakeholders.

c) Negotiation Skills: Artful negotiation to achieve mutually beneficial outcomes.

d) Detail-Oriented Approach: Precision in reviewing and drafting contracts.

e) Collaboration: Ability to work seamlessly with diverse teams.

Preferred candidate profile: Should be a law graduate, with minimum of 12 to 15 years of relevant experience.

Responsibilities:

1. Regulatory Adherence:

a) Monitor and interpret laws, regulations, and industry standards relevant to the organization.

b) Ensure compliance with legal requirements at local, national, and international levels especially UK.

c) Develop and maintain policies and procedures to align with regulatory guidelines.

d) Expertise in Compliance Software: Utilize compliance software tools to track and manage regulatory changes especially EY.

2. Risk Assessment and Mitigation:

a) Identify potential compliance risks and vulnerabilities.

b) Conduct risk assessments and recommend strategies to mitigate risks.

c) Collaborate with cross-functional teams to implement risk controls

3. Policy Development and Training:

a) Create and update compliance policies, codes of conduct, and guidelines.

b) Provide training to employees on compliance matters.

c) Foster awareness of compliance obligations throughout the organization.

4. Monitoring and Reporting:

- Regularly monitor compliance activities and assess effectiveness.

- Investigate incidents of non-compliance and report findings to management.
