Deputy Manager - Corporate Secretarial - Infra

6-7 years of Experience in a listed large organization :

1. Driving Compliance under Company Secretarial function to comply with Companies Act, 2013 and Secretarial Standards.

2. Preparing Agenda and other related documents for Meetings (Board/Committee/General Meeting/postal ballots).

3. Driving Compliance under SEBI (LODR) and various other Regulations under SEBI/MCA/SEC.

4. Handling various notices received from regulatory bodies- SEBI/ MCA/RBI etc.

5. Preparation of Annual Report and conducting the AGM.

6. Compliance with COC, Insider Trading, ESOPs, Gift Policy.

7. Liaising and networking with various stakeholders including senior management and Leaders for discharging Corporate Secretarial matters.

8. Process enhancements and implantations including technology initiatives to ensure robust Corporate Governance.

9. Ensuring and monitoring quality and change control over Board & Company Law related processes including regulatory reporting and compliance.

10. Foreign Subsidiaries.

11. Investor complaints/grievances.

12. Keeping up-to date will changes under various statutes.

Qualifications :

- Good communication skills (Written and verbal).

- Ability to work sensitively and effectively in diverse multi/cross-cultural environment.

- Positive attitude / mind-set will to win and a team player. Ability to manage multiple priorities with excellent attention to detail.

- Able to challenge status quo & effectively communicate to leadership, auditors and regulators.

- Ability to work in and handle complex ambiguous situations.
