#CS #Regulatory Compliance #Corporate Law - Drafting of board/committee/shareholders meeting agenda and minutes and allied documents - Maintenance of statutory records, preparing Annual Reports and ensuring regulatory compliance for Indian companies and preferably for overseas companies - Handling secretarial audit, Share Transfer Agent, investor grievance etc. - Good knowledge and work experience of compliance of Companies Act 2013, SEBI Regulations (Listing regulations / Takeover code / Insider Trading Regulations / Depositories and Participant Regulations / ICDR), FEMA and its Master Directions etc. - Dealing with Registrar of Companies, SEBI, Stock Exchanges, RBI, Banks, Private Equity Investors, Legal Consultants and Overseas Management of Trusts/Companies. - Assist/support to various functions of Organization and handle inter departmental interactions - Due diligence, M&A, Restructuring - Drafting of various corporate documents; vetting of financing documents - Secretarial support to group companies. - Experience in fund raising activities preferred. Qualification : Company Secretary with rich experience in handling work of large sized listed manufacturing company and its subsidiaries. Person Requirements: Good Communication and drafting Skills, Pleasing personality, Hard Working, Willing to work under strict timelines.
