Education Qualifications: Commerce Graduate, Member of ICSI, CA/LLB - preferred

Work Experience : 10 -15 years in Secretarial domain, preferably in listed Multinational(s)

Preferred Industry: Blue chip, listed, Indian Multinational preferably with a Foreign listing

Job Description :

- Assisting the GCS in Secretarial matters pertaining to Tata Motors Ltd - Board and Committee Meetings; Compliances with Companies Act and rules, Equity and Debt listing compliances and secretarial standards; SEC related compliances in connection with ADR listing; fund raising through International and Domestic offerings - equity, equity related and debt; oversight of Shareholders servicing through the Company's Registrars.

- Oversight on Secretarial and Corporate Governance function for the Tata Motors Group - advising, liaising Company Secretaries in their functions, facilitating issuances of various guidelines pertaining to Corporate Governance and their adoption within the Tata Motors Group

Key Responsibilities :

- Company Secretary of an Indian Company and the Holding Singapore Company of the Tata Motors Group. This includes all compliances and Secretarial matters pertaining to these companies. Maintain Board portal for Directors, Statutory registers etc. Updating company's website, Stock Exchange portal, MCA portal, SEC US portal on governance and secretarial matters.

- Handling Board matters of Tata Motors Ltd - Agenda, Minutes, Action taken reports, MIS.

- Overseeing secretarial function (annual reports, board minutes, dissemination of key policies to subsidiaries) of certain domestic and foreign subsidiaries

- Keep abreast of changing regulatory landscape and advising the Board on implications and compliance. Brief the Board on key compliance requirements and status pertaining to the Companies Act and various corporate / securities related regulations.

- Ensure compliances with Listing Regulations, Insider trading regulations and the SEBI (SAST).

- Participate actively in major fund raising programs - domestic and international - shares, convertible or bonds - documentation, liaising with counsels, filings, planning etc. Monitoring FII limits, ADR headroom and RBI compliances.

- Assist in preparing the Annual Report, [the US annual report (20F) desirable though not mandatorily required] as part of a cross functional team with Accounts, Investor Relations and Business, in line with applicable regulatory requirements, it's printing and timely dispatch to every member, debenture holder, director, auditors, stock exchanges and all other relevant stakeholders
