Deputy Chief Manager - Company Secretary - Life Insurance

We have very urgent position in one of BEST Life Insurance organizations across the following location --

POSITION - Company Secretary ( Deputy Chief Manager )

Reporting to Head - AVP

LOCATION - Mumbai ( Headquarters )

OFFERED CTC - 10 to 13 lacs (APPROX ) ; depending upon last drawn CTC, total experience .

JOB PURPOSE :

- Arranging board/general meetings and preparing minutes thereof

- Maintenance of secretarial records, statutory books and registers

- Conducting Board Meetings through video-conferencing and teleconferencing

- Thorough knowledge of Companies Act 1956 and Companies Act 2013

- Maintenance of statutory records in electronic form

- Sending notices to stakeholders by electronic mode

- Filing of forms/documents in electronic form with Registrar of Companies and other statutory authorities

- Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate, Securities and Other Business Laws and regulations and guidelines made thereunder.

- Representing on behalf of a company and other persons before Company Law Board, National Company Law Tribunal, Registrar of Companies, Consumer Forums, other quasi-judicial bodies and Tribunals

- Ensuring compliance IRDA Regulations

- Handling Compliance aspects like

- Vetting and filing of advertisements as per IRDA Regulations

- Resolving queries of various department on Regulatory aspects

Filing of Regulatory Returns with the IRDA

REQUIREMENTS :

EDUCATION : CS ( Mandatory ) with LLB ( preferred ).

Industry : BFSI & Any industry with Willingness to learn new laws.

1. 4-9 years post qualification exp. This excludes mandatory internship

2. Avoid job hoppers, people changing jobs frequently .
