About the Role The role is to lead the secretarial function and be the custodian for corporate governance agenda of the Group. It is apt for someone who seeks high growth & willing to dive head-on to get things done. We are well funded and slated to scale in the fintech space. To fit the bill, you must be a qualified Company Secretary (CS); with deep understanding of the pace of a startup ecosystem. Your key goals and responsibilities - Managing the secretarial aspect for the Group entities. - Drafting of internal policies, processes and documentation to be in order with compliance and legal / statutory requirements. - Collating data requirement for various audits / due diligence, Board Meetings, Investor Discussions, General Meetings and preparing secretarial documents like Director Report, Stakeholder presentation etc. - Handling due diligence, audit work, company registration & related work, statutory filings. - Supporting and guiding the management team and stakeholders on Company Law; liasing with external regulators, auditors, solicitors. - Convening & servicing board and annual general meetings. Recording minutes of Board meetings and follow through the action items. - Managing and maintaining ESOP compliance; incorporation, conversion & dissolution of entities; RBI - FEMA compliance etc. Your key qualifications & competencies: - Graduate in Law. Company Secretary. - 8+ years of experience. Preferred atleast 4 years experience in Financial Services / Start up. - Proven ability to meet deadlines in high paced environment - Effective verbal and written communication
