Primary Responsibilities

- Support contract review/drafting process, including evaluation and negotiation of contract/agreement terms, with a particular emphasis on the negotiation of Agreements, Master Agreements and Share Purchase Agreements. Identify non-standard contract terms and distribute to the appropriate internal parties (legal/commercial/technical) for input regarding review/revision or approval.

- With oversight of counsel, prepare and/or review contractual and confirmation documents for EPC contracts, interpret contractual terms and provide guidance to the functional teams on legal and business risks.

- Monitor the unexecuted Contracts Report and coordinate the timely execution.

- Assemble and distribute the appropriate contract annexures (Technical/Commercial) to internal departments and external third parties. Solicit, compile, and evaluate comments.

- Maintain company standard template agreements, including, but not limited to, NDAs, EPC, Framework Agreement and related transactional agreements/forms.

- Maintain contract spreadsheets, databases, or other tracking software (SharePoint and specified Project Management Tools), as applicable, to effectively track and file contracts.

- Facilitate the Contract Post-Execution Process to ensure appropriate processing of executed contracts. Evaluate and recommend changes in existing processes to improve the efficient operation of contract management.

- Respond to and offer solutions to contract inquiries, initiating research and follow up as appropriate. Draft routine and non-routine correspondence in response to internal and external inquiries or standard legal issues pertaining to contracts.

- Attend periodic status meetings with the various stakeholders, document discussions and outcomes and update the tracking database as necessary.

- Monitor and process the renewal and/or execution of all licenses, permits, and other regulatory certifications necessary for the services to conduct its business operations. Maintain a database of all such licenses, permits and certifications to assure compliance.

- Maintain and update, as necessary, the database of all our clients and counterparty contacts for contract, confirmation, and billing and payment matters.
