Compliance Officer
Detailed Job Description :
Drafting/ Preparation of Notice, Agenda, Minutes of Board meeting/ General Meeting and Co-ordination of such Meetings.
- Maintenance and Updating of Legal & Statutory Registers.
- Filing returns with RBI/ROC.
- Statutory compliance's under Companies Act, FEMA Laws, & other Corporate Laws.
- Handling end to end functions related to FDI compliance's
- To apply and obtain Govt. registrations/Approvals including but not limited to Shop & Establishment, trademark, copyrights, RBI approvals etc. as and when required.
- Liaison with Govt. and statutory Agencies.
- Deal with Banks/FI for Legal Documentation of Corporate Funding.
- Drafting/ Vetting of various Corporate agreements etc.
- Documentation/ Legal Compliance for new Joint Ventures/ Corporate Tie ups.
- Drafting/Vetting of Share Purchase Agreement/Term Sheets/Investor agreements/MOU's etc.
- Implementing effective controls and processes in accounts team.
Skills and Specifications :
- The candidate should have excellent knowledge of end to end secretarial, Legal and FDI functions
- The candidate should have strong computer skills in Microsoft Excel.
- The candidate should have the quality of team working skills.
- The candidate should possess good communications skills both oral and written
- The candidate should have ability to work well under pressure.
Education and Qualification :
- The candidate should be a qualified Company Secretary and Law graduate preferably from Delhi University or from any of the top 5 law colleges of India
- The candidate should have minimum 5-8 years of post- qualification experience in handling Secretarial, FEMA, FDI compliances, Legal Matters and other statutory legal compliances functions
