Company Secretary - Retail/Hospitality/Real Estate

Reports to: Chief Financial Officer

CTC: 12 lac per annum to 20 lac per annum.

Experience: 10 to 16 year

Currently hiring for a Company Secretary for a closely held company with a name for itself in retail, hospitality, real estate and travel industry. The company is part of a JV between two renowned business houses of India and has posted a net profit of 112 crores in the FY 12 - 13.

The incumbent will responsible for secretarial, legal and financial aspects of the business while reporting directly to CFO, the incumbent will have following as his key responsibility areas:

- Take care of Company Secretarial duties and ensure compliances with various Governing Bodies.

- Handling Statutory Compliances and Corporate Governance.

- Maintaining statutory books as per ROC rules and regulations.

- Preparing Board/EGM/AGM Notices, Director Report, Resolutions & minutes of AGM, EGM, BM etc.

- Conducting Board Meeting, General Meeting and Annual General Meetings.

- Well conversant with SEBI Guidelines, FEMA Regulations and RBI Guidelines, Company Law Board guidelines etc.

- Must possess a dynamic personality with excellent verbal and written communication skills.

Academic & trades qualifications:

- Qualified CS & a Law graduate with 10 to 16 years of professional experience in a renowned firm or corporate environment.

- Excellent drafting and communication skills, ability in analyzing various provisions of Corporate Laws.

- Independently handled Board Meeting arrangements and attended Board Meeting(s) as company secretary.
