Company Secretary - NBFC

A leading NBFC wishes to hire the CS for its largest business.

It is a listed entity.

Key responsibilities shall include : 

- Corporate Governance, Corporate Secretarial and RBI Compliances 

- Ensuring compliance with statutory and regulatory requirements

- Handling entire gamut of RBI and NHB compliances; handling inspection by regulators

- Maintaining records, statutory filings, other secretarial compliances and such other activities delegated from time to time

- Liaison with regulators for various matters including capital restructuring

- Formulating and implementing Compliance Framework

- Drafting and implementation of various Board level policies required either under Companies Act, or as prescribed by the Regulator.

- Comply with the statutory provisions and improve compliance levels

- Review internal control charter, proofing process, integrity process and strengthen the same to have stronger controls

- Sharing of information proactively with business heads and ensure timely sharing of information with treasury /Accounting team for external customers i.e. Bankers / Financial Institutions/ Credit rating agencies on timely basis

- Preparations for the Board/Board Committees/General meetings

- Notices, agenda, minutes, physical arrangements, etc

We invite applications from qualified CS with 12-15 years of experience in effectively managing the functions of a company secretary of a listed company.

Experience in the BFSI sector is mandatory.

Must have the wherewithal of leading a secretarial team and work with the CEO/Group CS.
