Company Secretary - NBFC

1. Convening Board/ Committee general meetings /meetings in Compliance with provisions of the Companies Act, SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015

2. Preparation of agendas, taking minutes, Action Taken Reports, follow ups for completion of Action Taken Reports

3. Ensuring Compliance with Companies Act and rules made thereunder, SEBI (Listing Obligation and Disclosure Requirements) Regulations. 2015, SEBI (Prohibition of Insider Trading) Regulations, 2015

4. Compliance on fund raising (Equity, NCDs - Public & Private Issue) and corporate actions related thereto

5. Drafting of various policies and monitoring compliance with applicable policies.

6. Keep track of regulatory updates and advising management thereon.

7. Providing support to the management / board or other committees on specific projects and various corporate actions. Ensuring compliances related to the same.

8. Filing of forms, returns with Ministry of Corporate Affairs and Stock Exchanges, maintaining Statutory Registers applicable to the Company.

9. To carry out corporate actions, obtaining of Listing approval, trading approval from NCDL/ CDSL, BSE/ NSE as the case may be

10. Acting as a one point of contact and building good relationships with shareholders

11. Any other duties/ responsibilities as may be assigned by the top management from time to time.

12. Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate, Securities and Other Business Laws and regulations and guidelines made thereunder

NOTE - Candidate should have working experience in listed BFSI company
