A Company Secretary (CS) plays a crucial role in ensuring that an organization complies with relevant laws and regulations and maintains effective governance structures:

Corporate Governance:

- Advise the board of directors on their legal and regulatory responsibilities.

- Ensure that the company complies with corporate governance codes and practices.

- Organize and attend board meetings, prepare agendas, and record minutes of meetings.

Legal Compliance:

- Keep abreast of changes in laws and regulations affecting the company.

- Ensure compliance with statutory and regulatory requirements.

- File necessary documents with regulatory authorities.

Record Keeping:

- Maintain and update statutory books and records, including registers of members and directors.

- Handle the company's correspondence with regulatory bodies and ensure proper documentation.

Communication and Disclosure:

- Facilitate communication between the board, management, and shareholders.

- Manage the company's communication with shareholders and ensure timely disclosure of relevant information.

Annual Reports and Filings:

- Coordinate the preparation and filing of the company's annual reports.

- Ensure that all required statutory and regulatory filings are completed accurately and on time.

Board Support:

- Assist in the orientation and training of board members.

- Provide advice to the board on legal and governance matters.

- Act as a bridge between the board and other stakeholders.

Risk Management:

Collaboration:
