A listed manufacturing company is looking for a Company Secretary having 15-20 years of post qualification experience:

A) The Candidate will be responsible for the following:

1. Responsible for of Secretarial and Legal compliances of the Company.

2. Ensuring compliance with the requirements under the Companies Act, 2013 and rules made thereunder, Secretarial Standard issued by ICSI, SEBI Act and Regulations (SEBI Takeover Regulations, SEBI Insider Trading Regulations, etc.), SEBI Listing Regulations and FEMA, RBI Directions for NBFCs and other applicable authorities

3. Convening and conducting meetings of the Board of Directors and committees

4. Schedule and attend meetings Board and committee meetings of the company;

5. Co-ordination with the Directors for the various meetings- before and after the meetings;

6. Preparing of Agenda papers for the Board Meeting and Committee

7. Recording Minutes of the Meetings, which serves are conclusive evidence in courts of law

8. Preparation of Annual Report of the Company and its subsidiaries/associates/ group companies and to ensure dispatch of the same well before the prescribed time limit.

9. Timely filing of disclosures and periodical reports with Statutory Authorities. Zero tolerance of any violation.

10. Co-ordination with Inter departments, Secretarial Auditors, Internal Auditors and Statutory Auditors

11. Conducting Annual General Meetings, General Meetings. Work relating to Postal Ballot

12. Handling Corporate actions such as dividend distribution etc.

13. Handling of IEPF related process

14. Maintaining of statutory registers

15. Interaction with RTA, BSE/ NSE, CDSL/NSDL and Liaisoning with Shareholders and attending work related to transfer and transmission of shares and Investors- grievances.

16. Exposure in mergers, amalgamations, restructuring and diversification desirable

17. Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate, Securities and other Business Laws and regulations and guidelines made thereunder and keeping track of Amendment to various laws and keep Directors & Senior Management informed.

18. Ensuring compliance of SOPs regarding sending documents to Board / Committees are adhered to.

19. Seeking legal opinions from the counsel/legal advisors of the company on legal matters;

20. Follow up on legal matters & its related hearings/conferences.

B) The Candidate must have :

1) CS +LLB qualification

2) 15-20 years of PQE in total. Out of which 6-7 years of PQE should be in a listed company.

3) Work experience in a big Corporate Secretarial preferably with multiple layers of subsidiaries will be an added advantage.

4) Good understanding of Companies Act, 2013, all relevant SEBI Regulations, FEMA, NBFC Compliances and legal process. Well-informed of developments in corporate laws and analyzing specifically impact on the company and the Industry
