Desired Qualifications : Company Secretary and Legal (CS + LLB)
Desired Experience : 12 to 15 years experience with minimum 3-4 years experience of handling compliance and governance
Knowledge & Skills:
- Knowledge of all relevant statutes, Government policies, regulations and directives, and company policies and guidelines
- Excellent knowledge on latest developments and trends in regulatory regime
- To manage all secretarial and legal functions of the organization and support the top leadership in communication with regulatory bodies. To help the organization comply with all corporate responsibilities so as to safeguard it from any litigation or damage to the Corporate image
Primary Responsibilities :
Financial :
- Ensure adherence to budget with regard to ensuring regulatory compliances
Customer:
- Maintain regular contact with regulatory and government bodies such as Registrar of Companies, Income Tax Authorities, Depositories, SEBI, Stock
- Exchanges and other statutory authorities in coordination with CFO Process
- Assist CFO in developing the overall Corporate Strategy by providing inputs on the financial / legislative and the legal aspects related to the organization
- Stay up to date with the legal framework, relevant legislation and the regulatory environment applicable to business and ensure legal compliance
for all outbound investments and setting up subsidiaries of companies, Joint Ventures, etc like compliance with RBI norms, FEMA, other statutory requirements
- Serve as the point of communication between the Board of Directors and the Shareholders by regularly updating them on company proceedings and performance
- Convene and conduct meetings of the Board of
Directors and Committees;
