To act as a Company Secretary for the organization and responsible for all corporate, regulatory and legal compliances.  Job Responsibilities:  1. Corporate Secretarial Functions :   - Act as the Company Secretary for the company  - To conduct Board and shareholder meetings as per the statutory procedures  - To maintain all the statutory books for the company  - To ensure filing of all statutory forms, annual returns etc.  - To liaise with Registrar of companies, company law board or other statutory authorities for secretarial function  2. Legal function :   - Formalize the Legal function in the company  - Advise and review all client contracts  - Reviewing, negotiating, drafting/ coordination for transactional/ commercial documents such as lease deed, vendor contracts etc.  - Minimize the legal risk for the company  3. Business Enabling and Regulatory Function :   - Advisory, review, liasioning with government departments on legal and regulatory  - Advising the business units on risk and compliances to enable faster turnaround time with clients and on all critical projects  - To actively engaged in strategic activities taken up by the management such as Funding, Merger, acquisitions- etc.  - To increase the awareness in business teams regarding the legal and regulatory risk and its mitigation  - To templatize the contract review activity and track all critical contracts with clients, vendors, regulatory authorities etc.  4. Corporate Governance :   - To enhance the corporate governance environment for the company  - To formalize the corporate governance policy  - To make, implement and monitor the GRC framework  - To ensure and take adequate steps that the management, its' directors and the company is sufficiently covered (with insurance and indemnity) against all types of risk and litigation  - To ensure that the company and management is aware of all potential risk and adequate measures taken to cover such risks. Keep updating the management/ leadership team regarding the new legal & regulatory changes and its impact on the company.  5. Audit and Finalization of statutory books :   - To interact with statutory and Internal auditors for secretarial and legal function  - To provide the necessary secretarial information for completion of statutory financial books, prepare the notes to accounts, director reports etc.  Critical Requirement :  - A qualified company secretary from Institute of Companies Secretary of India  - A LLB degree holder from a reputed college; preferably a master's degree  - Should have been a Company Secretary for an Organization  - At least 8-10 years working experience in a leading organization  - Working in an Indian MNC will be an added advantage  Other Skills :  - Should be able to handle and interact with senior management and board members.  - Excellent relationship management and communication skills  - Demonstrate knowledge of, and experience with, laws dealing with government and/or commercial contract administration, particularly contract negotiation, preparation and administration;  - Strong managerial skills and a team player  - Ability to provide independent advice (orally and in writing) to senior level management on highly technical matters;
