Mandatory: Company Secretary experience and knowledge of SEBI, NSE and BSE. Regulations Experience of Capital Markets, Securities and AIF.

As the Company Secretary, you will lead the secretarial function of the organization, including a team of professionals, to ensure legal compliance and promote corporate governance. This position also requires effective team management skills to guide and develop your team to achieve departmental objectives.

Job Responsibilities:

1. Legal Compliance: Ensure the organization's adherence to all applicable laws, regulations, and guidelines in the financial services industry. Stay updated on changes in financial and securities regulations and communicates their implications to the leadership team.

2. Corporate Governance: Lead efforts to maintain and enhance corporate governance standards within the organization. This includes planning and preparing for board meetings, maintaining records, and ensuring operational alignment with corporate governance best practices.

3. Statutory Filings: Oversee and manage the timely and accurate submission of statutory documents and filings required by regulatory authorities such as SEBI, stock exchanges, and the Ministry of Corporate Affairs.

4. Annual Reports: Play a key role in the preparation and distribution of annual reports and other statutory reports, ensuring accuracy and compliance with all relevant laws and regulations.

5. Shareholder Relations: Manage communication with shareholders, addressing their queries and concerns, and ensuring compliance with the Companies Act regarding shareholder meetings.

6. Secretarial Functions: Oversee traditional company secretarial tasks, including issuing share certificates, managing share transfers, and supervising dividend and bonus issues.

7. Team Management: Lead and manage a team of company secretary professionals. Set departmental objectives, provide guidance, and foster a collaborative and high-performing work environment.

8. Corporate Records: Ensure the proper maintenance and updating of company records, including the register of members and directors, minutes of meetings, and other critical documentation.
